Facility Request means a Transaction Document pursuant to a Facility Application by an SME, posted on the Platform for which Investors can invest in respect of an identified SME for the Requested Amount in accordance with the terms and conditions of the Transaction Documents relating thereto;

Examples of Facility Request in a sentence

  • Each Incremental Facility Request from the Borrower shall set forth (i) the requested principal amount of the Incremental Facility, (ii) the proposed terms of the Incremental Facility (including its interest rate and, if an Incremental Term Facility is being requested, amortization and any prepayment premiums) and (iii) whether an Incremental Revolving Facility or Incremental Term Facility is being requested.

  • Each Incremental Facility Request from the Borrower shall set forth (i) the requested principal amount of the Incremental Facility and (ii) the proposed terms of the Incremental Facility (including its interest rate, amortization and any prepayment premiums).

  • Upon delivery of the applicable Incremental Facility Request, the Incremental Term Loan Commitments shall first be offered to the Agent for the purpose of arranging such facilities, with any un-committed amounts thereafter arranged by Borrower (with the consent of Agent, not to be unreasonably withheld or delayed)).

  • Such Incremental Facility Request shall set forth (i) the amount of the Incremental Term Loan Commitment being requested, (ii) the date (an “Incremental Effective Date”) on which such Incremental Facility is requested to become effective (which, unless otherwise agreed by Administrative Agent, shall not be less than ten (10) Business Days nor more than sixty (60) days after the date of such notice), and (iii) the Borrower’s proposed potential lenders thereof.

  • Upon delivery of the applicable Incremental Facility Request, such Incremental Facility shall be offered to all Lenders pro rata according to the respective outstanding principal amounts of the Revolving Loans and Revolver Commitments held by each Lender.

  • The Agent shall not be responsible for any statements, representations or warranties made by the Borrower in this Agreement any Facility Letter or otherwise or for or in respect of any information supplied or provided or subsequently to be supplied or provided by the Agent or any of the Banks which is in any way connected with the Borrower or this Agreement or any Facility Request, Facility Letter or any of the matters contemplated by this Agreement.

  • If, in relation to a Facility Request, the Borrower shall decline to sign the Facility Letter as stipulated by the Agent, it shall be under no obligation to do so.

  • Once the Facility Request has been approved and a Facility Letter entered into, the Agent and/or the Banks shall make available the requested loan in accordance with the provisions of the applicable Facility Letter.

  • Each Revolving Lender may elect (in its sole discretion) to provide its pro rata share of such Incremental Revolving Loan Commitments by giving notice of such election in writing to the Revolver Agent by 11:00 a.m., on the date that is ten (10) Business Day after the date of Revolver Agent’s receipt of the applicable Incremental Facility Request.

  • The Agent will notify the Borrower of its decision within 10 Business Days of receipt by it of a Facility Request.

  • L/C Request has the meaning specified in Section 2.4(b).

  • Issuing Entity Request means a written order or request signed in the name of the Issuing Entity by any one of its Authorized Officers and delivered to the Indenture Trustee.

  • Eligible Facilities Request means any request for modification of an existing tower or base station that does not substantially change the physical dimensions of such tower or base station, involving:

  • Third Party Request means a written request from any third party for disclosure of Personal Data where compliance with such request is required or purported to be required by law or regulation.

  • Access Request means a request for access to Facilities and/or Services on the Access List made by the Access Seeker under subsection 5.4.5 of the MSA Determination and containing the information in subsection 5.4.6 of the MSA Determination and in Clause 5(b) hereof and as per the format in Appendix A hereof.

  • Acceptable Letter of Credit means a clean, unconditional, irrevocable letter of credit issued by a Wisconsin bank or any other financial institution acceptable to the commissioner which renews on an annual basis for a 3–year term unless written notice of non- renewal is given to the commissioner and the limited service health organization at least 60 days prior to the renewal date.

  • LC Request a request for issuance of a Letter of Credit, to be provided by Borrower Agent to Issuing Bank, in form satisfactory to Agent and Issuing Bank.

  • Utilisation Request means a notice substantially in the form set out in Schedule 3 (Utilisation Request).

  • Draw Request Any request by the Borrower, pursuant to Section 2.2 of this Agreement, for a disbursement of any portion of the proceeds of the Loan.

  • Advance Request means a request for an Advance submitted by Borrower to Lender in substantially the form of Exhibit A.

  • Letter of Credit Request shall have the meaning provided in Section 2.03(a).

  • Drawdown Request means a notice substantially in the form set out in Schedule 3 (Drawdown Request).

  • Facility Agent has the meaning set forth in the Preamble.

  • Disbursement Request means a disbursement request from the Borrower to the Administrative Agent and the Collateral Agent in the form attached hereto as Exhibit C in connection with a disbursement request from the Unfunded Exposure Account in accordance with Section 2.04(d) or a disbursement request from the Principal Collection Subaccount in accordance with Section 2.18, as applicable.

  • Commercial use request means a re- quest from or on behalf of one who seeks information for a use or purpose that furthers the commercial, trade, or profit interests of the requester or the person on whose behalf the request is made.

  • Liquidity Requirement shall have the meaning as set forth in Section 2.12(b).

  • Credit Facility Agent means the then acting Agent as defined in and under the Credit Facility or any successor thereto.

  • Extension Request has the meaning provided in Section 2.20(a).

  • Mediation Request shall have the meaning set forth in Section 7.2.

  • Request for Letter of Credit means a written request for a Letter of Credit substantially in the form of Exhibit D, together with the standard form of application for letter of credit used by the applicable Issuing Bank, signed by a Senior Officer of the applicable Borrower and properly completed to provide all information required to be provided therein.

  • Issuer Request means a written order or request signed in the name of the Issuer by any one of its Authorized Officers and delivered to the Indenture Trustee.

  • Company Request or "Company Order" means a written request or order signed in the name of the Company by its Chairman of the Board, its Vice Chairman of the Board, its President or a Vice President, and by its Treasurer, an Assistant Treasurer, its Secretary or an Assistant Secretary, and delivered to the Trustee.

  • Guarantor Request and "Guarantor Order" mean, respectively, a written request or order, as the case may be, signed in the name of the Guarantor by the Chairman of the Board, a Vice Chairman, the President or a Vice President, and by the Treasurer or an Assistant Treasurer, the Secretary or an Assistant Secretary, of the Guarantor and delivered to the Trustee.

  • Facility LC Application is defined in Section 2.19.3.

  • Loan Disbursement Handbook means ADB’s Loan Disbursement Handbook (2012, as amended from time to time);

  • Loan Request means a letter in substantially the form of Exhibit A hereto executed and delivered by the Borrower to the Administrative Agent and the Group Agents pursuant to Section 2.02(a).
