Facility Costs definition

Facility Costs means all costs incurred, or to be incurred, in connection with the development, design, engineering, procurement, construction and commissioning of the Facility, which costs shall include, but not be limited to: (a) all costs incurred under the EPC Contract, (b) Development Expenses, (c) O&M Costs incurred in connection with the start up of the Facility or otherwise prior to the Commercial Operation Date, (d) actual interest costs (including, prior to Commercial Operation, interest due and payable on the Loans) and amounts required pursuant to the Debt Service Reserve Requirement, closing and administration costs related to the Facility until the Commercial Operation Date, (e) the costs of acquiring Governmental Authorizations for the Facility prior to the Commercial Operation Date and (f) without duplication, working capital costs.
Facility Costs means, for any Monthly Period, an amount equal to (a) the Class A Monthly Interest for such Monthly Period, plus (b) the Trustee, Back-Up Servicer and Successor Servicer Fees and Expenses for such Monthly Period, plus (c) the Servicing Fee for such Monthly Period, plus (d) all other fees, expenses and indemnity amounts accruing during such Monthly Period and owing by the Issuer under the Transaction Documents (other than any Unused Fees).
Facility Costs means, with respect to a Facility, without duplication, the costs (other than Transaction Expenses) incurred by the Facility Company or the Company in connection with the acquisition, ownership, financing, leasing, occupation, construction, design, equipping, installation, testing, start-up, initial operation, and commissioning of such Facility, to the extent set forth in the Base Case Model, including: (a) all amounts payable to third parties under the Principal Facility Documents, (b) all payments required to be made to the interconnection utility and Governmental Authorities, (c) all out-of-pocket fees and expenses of the Facility Company’s consultants, appraisers and engineers, (d) the interest, fees and expenses owing to the Facility Lender under the Financing Documents and (e) all out-of-pocket fees and expenses of the Facility Company’s counsel.
