Facilities Fees. For the first year of the Original Term, Borrower shall pay to Bank a facilities fee of One Hundred Thousand and No/100 Dollars ($100,000.00), which fee shall be fully earned by Bank and payable on the date that Bank makes its initial disbursement under this Agreement. Thereafter, Borrower shall pay to Bank an annual facilities fee equal to Fifty Thousand Dollars ($50,000), which fee shall be fully earned by Bank and payable on each anniversary of the date of this Agreement during the Original Term and any Renewal Term.

Examples of Facilities Fees in a sentence

  • Any qualifying project with deed-restricted affordable housing units shall pay Traffic, Parkland, and Park Facilities fees at a rate that is 50% of the rate shown above.

  • Facilities Study shall be an engineering study conducted by the Transmission Provider (in coordination with the affected Transmission Owner(s)) to: (1) determine the required modifications to the Transmission Provider’s Transmission System necessary to implement the conclusions of the System Impact Study; and (2) complete any additional studies or analyses documented in the System Impact Study or required by PJM Manuals, and determine the required modifications to the Transmission Provider’s Transmission System based on the conclusions of such additional studies. The Facilities Study shall include the cost and scheduled completion date for such modifications, that will be required to provide the requested transmission service or to accommodate a New Service Request. As used in the Interconnection Service Agreement or Construction Service Agreement, Facilities Study shall mean that certain Facilities Study conducted by Transmission Provider (or at its direction) to determine the design and specification of the Customer Funded Upgrades necessary to accommodate the New Service Customer’s New Service Request in accordance with Tariff, Part VI, section 207.   • Fees and Charges means the fees and charges set out in Appendix 2, including such fees and charges as may be revised by the Service Provider from time to time by amendment to Appendix 2 in accordance with this Agreement;

  • Agency Fees On each order accepted by us for a Fund with a sales charge, we understand that you will charge your customer an agency commission or agency transaction fee ("agency fee") as set forth in the schedule of sales concessions and agency fees set forth in that Fund's Prospectus, as it may be amended from time to time. You will specify in writing the method of payment you elect (See NOTICES AND COMMUNICATIONS Section below). If any shares sold to your customer under the terms of this Agreement are repurchased by the Fund or by us, or are tendered to a Fund for redemption or repurchase, within seven (7) business days after the date of the confirmation of the original purchase order, you will promptly refund to us the full agency fee paid or allowed to you on such shares. This Section shall not apply to the extent that you or your customer is qualified to buy, and is buying, shares at net asset value.

  • Services Fees means the agreed upon fees in an Order for the Services Offerings.

  • L/C Fees has the meaning set forth in Section 3.4(c).

  • Financing Costs means for each calendar day the product of:

  • Advance Reimbursement Amounts As defined in Section 3.29 hereof.

  • Idle facilities means completely unused facilities that are excess to the governmental unit's current needs.

  • Management Fees means, with respect to each Project for any period, an amount equal to the greater of (i) actual management fees payable with respect thereto and (ii) three percent (3%) per annum on the aggregate base rent and percentage rent due and payable under leases at such Project.

  • Facility Fee has the meaning specified in Section 2.09(a).

  • Maintenance Fees means the non-refundable fees payable annually by Licensee to OT for Support Services;

  • Fees means all amounts payable pursuant to, or referred to in, Section 4.1.

  • Senior Facilities Agreement means the senior facilities agreement dated on or about the date hereof executed between, among others, (a) the Original Senior Borrower, (b) the Original Senior Lenders, (c) the Senior Agent and (d) the Security Agent.

  • Eligible Facilities Request means any request for modification of an existing tower or base station that does not substantially change the physical dimensions of such tower or base station, involving:

  • Commitment Fees has the meaning set forth in Section 2.11(a).

  • Existing Facilities means all existing buildings and other facilities, the sites for the buildings or facilities, and furnishings or equipment for the buildings or facilities located on real property acquired by the building authority under the terms of this act.

  • DIP Facilities means the DIP ABL Facility and the DIP Term Loan Facility.

  • Advance Reimbursement Amount has the meaning stated in Section 4.4(b) of the Servicing Supplement.
