Title and risk of loss, injury, destruction or damage with respect to the Aircraft shall pass irrevocably from Seller to Buyer at the time that the FAA Xxxx of Sale is filed with the FAA Registry.

Upon delivery of the Aircraft and payment of the balance of the purchase price, in accordance with this Agreement, Seller shall instruct the Escrow Agent to deliver to the Buyer an executed FAA Xxxx of Sale granting good and marketable title to the Aircraft.
