FAA Xxxx of Sale definition

FAA Xxxx of Sale means the xxxx of sale for the Aircraft on AC Form 8050-2 executed by Manufacturer or an affiliate of Manufacturer in favor of Company and recorded with the FAA.

FAA Xxxx of Sale means a xxxx of sale for the Aircraft on AC Form 8050-2 (or such other form as may be approved by the FAA) delivered to Owner Trustee on the Delivery Date by Airframe Manufacturer.

• Title and risk of loss, injury, destruction or damage with respect to the Aircraft shall pass irrevocably from Seller to Buyer at the time that the FAA Xxxx of Sale is filed with the FAA Registry.

• Upon delivery of the Aircraft and payment of the balance of the purchase price, in accordance with this Agreement, Seller shall instruct the Escrow Agent to deliver to the Buyer an executed FAA Xxxx of Sale granting good and marketable title to the Aircraft.
