Extraordinary Support definition

Extraordinary Support means financial or other support of the University including the use of personnel, equipment, supplies and facilities which is specific to the individual and is more than the individual would normally receive or be able to access in the standard course through their role at the University.

Xxxxxx paid to a faculty member during an approved sabbatical will not be considered extraordinary support.
Extraordinary Support means OCAD University funds, personnel, facilities, equipment and other resources that are provided to a Faculty Member to a degree that is in excess of that normally available and does not include “Ordinary Support”. Such “Extraordinary Support” will be recognized by all parties through a written agreement before such support is provided.

More Definitions of Extraordinary Support

Extraordinary Support means any support (other than support that (x) is made in the ordinary course of business, or (y) is the result of customary transactions and arrangements) that has, or imminently will have, the effect of improving the Issuer’s capital adequacy and without which, in the determination of the Regulator, the Issuer would have become insolvent, bankrupt, unable to pay a material part of its debts as they fall due or unable to carry on its business.
Extraordinary Support means and include, without limitation, active consultation, analysis, investigation, problem solving, training and advocacy (including, without limitation, advocacy to governmental agencies) to or on behalf of the Party to whom the Extraordinary Support is given, it being the Parties intention that the Party giving Extraordinary Support will offer a greater commitment of its employee time and resources (including travel, training, on-site visits and expedited assistance) than the Party is otherwise obligated to furnish under the Parties' Agreements. By way of non-limiting example, Extraordinary Support is support over and above (a) the Parties sharing Information under the Parties Agreements (e.g., Information about patent prosecution, about other proceedings, and about the transfer of Dendreon Technology to Kirin), (b) activities associated with the Steering Committee, as contemplated in Sections 8.2 and 10.1 and Article 3 of the Collaborative License Agreement, respectively, and (c) activities of the Joint Research Committee as contemplated in Article 2 of the Research and License Agreement. Extraordinary Support does not include University support in the form of the Member’s regular salary, stipends, allowances, benefits, paid or unpaid leaves or reassigned time, the personnel, facilities, equipment, and other resources regularly funded by the activities of the Member’s department, the normal use of University’s library and computer facilities, and the University support accessible in connection with normal duties or academic instructional programs involving the Member. Related to Extraordinary Support

  • Extraordinary Services and "Extraordinary Expenses" means all services rendered and all expenses (including fees and expenses of Counsel) incurred under the Indenture and the Tax Agreement other than Ordinary Services and Ordinary Expenses.

  • Extraordinary Items means (i) extraordinary, unusual, and/or nonrecurring items of gain or loss; (ii) gains or losses on the disposition of a business; (iii) changes in tax or accounting regulations or laws; or (iv) the effect of a merger or acquisition, all of which must be identified in the audited financial statements, including footnotes, or Management Discussion and Analysis section of the Company’s annual report.

The Fair Market Value of an Extraordinary Distribution for purposes of paragraph I(4) shall be the sum of the Fair Market Value of such Extraordinary Distribution plus the amount of any cash dividends which are not Extraordinary Distributions made during such twelve- month period and not previously included in the calculation of an adjustment pursuant to paragraph I(4).

  • Extraordinary Dividend means any cash dividend or distribution (or portion thereof) that the Calculation Agent determines, in its sole discretion, is extraordinary or special; and

  • Extraordinary unspecifiable services means services which are specialized and qualitative in nature requiring expertise, extensive training and proven reputation in the field of endeavor.

  • Level 2 Support means, with the use of technical support specialists: (i) performing Defect isolation, Defect replication and interoperability testing; (ii) performing remote diagnostic services and on-site troubleshooting, if required; (iii) identifying the source of Defects; (iv) developing a reproducible test case for any Defect and documenting the details of such Defect for escalation to Level 3 Support; and (v) developing and implementing Workarounds where reasonably possible.

  • Extraordinary Events Any of the following conditions with respect to a Mortgaged Property (or, with respect to a Cooperative Loan, the Cooperative Apartment) or Mortgage Loan causing or resulting in a loss which causes the liquidation of such Mortgage Loan:

  • Extraordinary Losses Any loss incurred on a Mortgage Loan caused by or resulting from an Extraordinary Event.

  • Extraordinary Adjustment Event means any of the following events as they relate to the Reference In- strument:

  • First Level Support means any support relating to calls from Customer’s customers, end users or affiliates or general resolution of user errors, network errors, provisioning errors or Internet delays or malfunctions.

  • Tier 1 Support means the Technical Support provided by the Tier 1 Help Desk.

  • Other Posted Support means all Other Eligible Support Transferred to the Secured Party that remains in effect for the benefit of that Secured Party.

  • Extraordinary Trust Expenses shall have the meaning specified in the Standard Terms.

  • Extraordinary General Meeting means an Extraordinary General Meeting of the Members duly called and constituted and any adjourned holding thereof.

  • Extraordinary Expense shall have the meaning set forth in Section 5.1.11(e) hereof.

  • Extraordinary Common Stock Event means (i) the issue of additional shares of the Common Stock as a dividend or other distribution on outstanding Common Stock, (ii) subdivision of outstanding shares of Common Stock into a greater number of shares of the Common Stock, or (iii) combination of outstanding shares of the Common Stock into a smaller number of shares of the Common Stock.

  • Crew Support Costs means all expenses of a general nature which are not particularly referable to any individual vessel for the time being managed by the Managers and which are incurred by the Managers for the purpose of providing an efficient and economic management service and, without prejudice to the generality of the foregoing, shall include the cost of crew standby pay, training schemes for officers and ratings, cadet training schemes, sick pay, study pay, recruitment and interviews.

  • Extraordinary Advances has the meaning specified therefor in Section 2.3(d)(iii) of this Agreement.
