External Valuation definition

External Valuation means a valuation of the Properties prepared and issued by an independent and reputable appraiser, specifying the value of the Properties.
External Valuation means the independent Program valuation prepared for Purchaser by Xxxxx & Xxxxx Inc. of Vancouver, British Columbia.
External Valuation means a determination of the fair value of the Company as of the close of the month prior to the month in which the event triggering a buy-out right occurs, determined by an unrelated third party with at least fifteen (15) years’ experience and expertise in private company valuations and an “ABV” (Accredited in Business Valuation), “ASA” (Accredited Senior Appraiser), “CVA” (Certified Valuation Analyst), “AVA” (Accredited Valuation Analyst) or “CBA” (Certified Business Appraiser) credential, jointly selected by Representatives selected by each party (one by the purchaser and one by the seller), which Representatives also must have at least fifteen (15) years’ experience and expertise in private company valuations and an ABV, ASA, CVA, AVA or CBA credential. The Representatives will provide the evaluator with information and materials they deem relevant to value the Company; the valuation issued by the jointly-selected evaluator will be final and binding on all parties. To the extent necessary or appropriate, the Company’s accountants shall determine the value of the respective Membership Interests once the evaluator has made its determination of the Company value. Except as otherwise expressly provided in this Agreement, the expense of the External Valuation will be borne by the Company; provided, however, that any External Valuation conducted in connection with the “For Causetermination of Xxxxx or Xxxxxxx shall be borne by the terminated party and paid in full at Closing, setoff against the amount owed by the Company.

Examples of External Valuation in a sentence

  • If the External Valuation Price is greater than the Strike Price, there will be no adjustment.

  • If Xxxxx or Xxxxxxx elects to exercise the Put Right, each of Xxxxx and Xxxxxxx, as applicable, shall sell all but not less than all of his Membership Interests, free and clear of all encumbrances, at the purchase price for his Membership Interests determined by an External Valuation, no later than thirty (30) days after the date of the Put Notice.

  • Awards pursuant to this Section 8.7 shall grant a number of additional Options calculated as follows: the excess of the Strike Price over the External Valuation Price, divided by the External Valuation Price.

  • Discretionary or "True Up” Awards: At the sole discretion of the Committee, supplemental Award(s) may be granted to all Optionees in order to equalize discrepancies that may periodically arise between crowdfunding prices used to determine the amount of previous Awards versus prices determined through External Valuation Events.

  • In the event that the External Valuation Price is less than the Strike Price of any previous Award, additional Options shall be granted to the Optionees in accordance with Section 8.7(b).

  • External Verifier means any qualified provider of third party assurance or attestation services or other independent expert of internationally recognised standing appointed by the Issuer, in each case with the expertise necessary to perform the functions required to be performed by the External Verifier under these Conditions, as determined in good faith by the Issuer;

  • Internal inspection means as complete an examination as can be reasonably made of the internal and external surfaces of a boiler or pressure vessel while it is shut down and while manhole plates, handhole plates or other inspection opening closures are removed as required by the inspector.

  • Valuation means an estimate of the value of real estate or real property.

  • Fair Valuation means the determination of the value of the consolidated assets of a Person on the basis of the amount which may be realized by a willing seller within a reasonable time through collection or sale of such assets at market value on a going concern basis to an interested buyer who is willing to purchase under ordinary selling conditions in an arm’s length transaction.

  • Final Valuation Date means the Final Valuation Date as specified in § 1 of the Product and Underlying Data. If the Final Valuation Date is not a Calculation Date the immediately following Banking Day which is a Calculation Date shall be the Final Valuation Date.
