Exit Facility Documentation definition

Exit Facility Documentation means, collectively, the Exit ABL Documentation and the Exit Term Loan Documentation.

Exit Facility Documentation means the Exit Facility and all loan and security documents relating to the Exit Facility, in each case as consistent with the terms set forth in the Exit Facility Term Sheet and as the same may be amended, restated, supplemented, or otherwise modified from time to time.

Exit Facility Documentation means the collective reference to the Exit Loan Agreement, collateral agreements, intercreditor agreement, mortgages and other security agreements, documents and instruments, substantially consistent with the terms and conditions set forth in the Exit Loan Agreement, as reasonably determined by the Required Lead Lenders, and otherwise in form and substance reasonably satisfactory to the Required Lead Lenders and reorganized Xxxxxxx Kodak Company.

Examples of Exit Facility Documentation in a sentence

• The Exit Facility Documentation shall constitute legal, valid, binding, and authorized obligations of the Reorganized Debtors, enforceable in accordance with their terms.

• The Debtors shall comply, in a timely manner, with all of the terms, conditions and covenants contained in the Exit Facility Documentation.

• The Debtors shall have entered into and consummated the transactions contemplated by the Exit Facilities and the Exit Facility Documentation shall contain terms and conditions materially consistent with the terms and conditions set forth in Exhibits C and D attached to the Restructuring Support Agreement and shall otherwise be in form and substance reasonably satisfactory to the Requisite Commitment Parties.

• To the extent provided in the Exit Facility Documentation, the Exit Facility Agents or holder(s) of Liens under the Exit Facility Documentation are authorized to file with the appropriate authorities mortgages, financing statements and other documents, and to take any other action in order to evidence, validate, and perfect such Liens or security interests.

• All documents and agreements necessary to implement the Plan, including, without limitation, the Exit Facility Documentation shall have (a) been executed and (b) tendered for delivery.

More Definitions of Exit Facility Documentation

Exit Facility Documentation has the meaning given to such term in Section 4.8 hereof.

Exit Facility Documentation means the Exit RBL/Term Loan A Facility Documentation, the Exit Term Loan B Facility Documentation, and the applicable collateral agency agreements, collateral documents, mortgages, deeds of trust, Uniform Commercial Code statements, and other loan documents governing the Exit Facility, the material documents of which shall be included in the Plan Supplement, and which shall be consistent with the Restructuring Support Agreement and subject to the Consenting Stakeholder Consent Rights.

Exit Facility Documentation means the Exit RBL/Term Loan A Facility Documentation, the Exit Term Loan B Facility Documentation, and the applicable collateral agency agreements, collateral documents, mortgages, deeds of trust, Uniform Commercial Code statements, and other loan documents governing the Exit Facilities, which documents shall be included in the Plan Supplement, and which shall be consistent in all material respects with the Exit Facility Term Sheet.

Exit Facility Documentation means the definitive documentation for the Exit Facilities, in substantially the form of Exhibit 15 to this Plan (as filed with the Plan Supplement).

Exit Facility Documentation. Capitalized terms used in this letter but not defined herein shall have the meanings given to them in the Exit Facility Term Sheet.

Exit Facility Documentation has the meaning specified in Section 2.17.

Exit Facility Documentation means, collectively, the Exit Facility and each other agreement, security agreement, pledge agreement, collateral assignment, mortgage, control agreement, guarantee, certificate, document or instrument executed and/or delivered in connection with the foregoing, whether or not specifically mentioned herein or therein, as the same may be modified, supplemented or replaced from time to time, and which shall be in form and substance consistent with this Plan, and otherwise satisfactory to the Debtors, the Committee, and the Exit Facility Lender.
