Existing Warrants definition

Existing Warrants means any warrants to purchase Common Stock outstanding on the date of this Agreement.
Existing Warrants means the presently outstanding Common Stock Purchase Warrants (1971 Warrants and Series B Warrants) previously issued by the Borrower.
Existing Warrants means any warrants to purchase Ordinary Shares outstanding on the date of this Agreement.

  • On the Closing Date, in exchange for the Existing Warrants, the Company shall deliver the Exchange Shares to the Holder by deposit/withdrawal at custodian in accordance with the instructions set forth on the signature page of the Holder attached hereto, which Exchange Shares shall be issued without restricted legend and shall be freely tradable by the Holder.

  • Subject to the terms and conditions of this Agreement, including, without limitation, the conditions to effectiveness set forth in Section 7 below, the holders of each Existing Warrant agree to waive any and all pre-emptive rights granted under Section 5(h) (Pre-emptive Rights) of the Existing Warrants which may be triggered by the sale and issuance of Series A Convertible Perpetual Preferred Stock pursuant to the Bridge Facility.

  • Upon consummation of the Exchange, the Existing Warrants shall be automatically cancelled without any further action of the Company or the Holder.


More Definitions of Existing Warrants

Existing Warrants means any warrants to purchase Ordinary Shares or ADSs outstanding on the date of this Agreement.
