Existing Transaction Documents definition

Existing Transaction Documents means the Amended and Restated Investor Rights Agreement, the Amended and Restated Right of First Refusal and Co-Sale Agreement and the Note Purchase Agreement, in each case by and among the Company and the other parties a signatory thereto and dated effective as of August 3, 2007.
Existing Transaction Documents means the Purchase Agreement, the Notes, the Warrant, the Security Agreements, the Guarantee and all other agreements, instruments and other documents executed and delivered by or on behalf of the Axis Entities or any of their officers in connection with any of the foregoing agreements.
Existing Transaction Documents means: (1) the Existing SSA; (2) the shareholders’ agreement dated December 20, 2019, (as amended by amendment agreements dated September 2, 2020 and May 20, 2021), entered into between the Company, the Existing Investors, the Promoters, the Corporate Promoter and the Other Founding Shareholders and any amendments executed thereto (“Existing SHA”), and (3) any other document executed in relation to, in connection with, or pursuant to, the Existing SHA or the investment by the Existing Investors in the Company;

  • CDH shall hold all Shares free from all Liens save for those created under the Existing Transaction Documents and the Transaction Documents.

  • Each of the Company and the Parent further agrees that each such Existing Transaction Document (other than the Existing Agreement) shall remain in full force and effect following the execution and delivery of this Agreement and that all references to this Agreement in such Existing Transaction Documents shall be deemed to refer to this Agreement, as amended and restated on the date hereof.

Existing Transaction Documents means, collectively, the Existing Receivables Purchase Agreement, the Existing Trust Agreement, the Existing Indenture, the Existing Series 2002-A Indenture Supplement, the Existing Series 2002-B Indenture Supplement, the Existing Series 2003-A Indenture Supplement, the Existing Series 2004-A Indenture Supplement, the Existing Series 2004-B Indenture Supplement and the Existing Administration Agreement.

Existing Transaction Documents means the “Transaction Documents” as defined under those certain Securities Purchase Agreements dated November 6, 20007 and December 6, 2007, as amended.
Existing Transaction Documents means the Existing Securities Purchase Agreement and each other “Transaction Document” (as defined therein) executed and delivered prior to the 2007 SPA Closing; and (iii) “2007 SPA Closing” means the closing of the transactions contemplated by this Agreement being effected contemporaneously with the execution and delivery of this Agreement. The foregoing defined terms apply solely for purposes of this Agreement, and do not apply for purposes of the Amended Securities Purchase Agreement.
