Existing Shares definition

Existing Shares means, with respect to the Stockholder, the number of Company Shares Beneficially Owned and/or owned of record by the Stockholder as of the date hereof, as set forth on Schedule A.

Existing Shares means, with respect to each Stockholder, all shares of Company Common Stock owned, either beneficially or of record, by such Stockholder on the date of this Agreement.

Existing Shares means the shares of Company Common Stock Beneficially Owned by the Shareholder on the date hereof.

Examples of Existing Shares in a sentence

• All of the rights of the Existing Equity, except for the Existing Shares and PNCC’s existing shareholder rights plan, shall be terminated upon the implementation of the Plan or otherwise dealt with to the satisfaction of the Company and the Majority Second Lien Noteholder Supporting Parties.

• The holders of the Existing Shares at a record date to be determined shall retain approximately 2% of the equity of PNCC immediately following the implementation of the Plan (subject to dilution resulting from the issuance of any Common Shares, options or other rights pursuant to the Management Incentive Plan, as contemplated herein).

• As of the date hereof, the Stockholder does not Beneficially Own any capital stock or other securities of Bally's other than the Existing Shares.

• As at the date of this announcement, the issued share capital of the Company comprises 5,111,622,235 Existing Shares.

• As of the date hereof, the Stockholder (i) is the Beneficial Owner of the Existing Shares indicated on the Schedule hereto, free and clear of any and all Encumbrances, other than those created by this Agreement, as disclosed on the Schedule hereto or as would not prevent the Stockholder from performing its obligations under this Agreement and (ii) has either sole or shared voting power over all of the Existing Shares.

More Definitions of Existing Shares

Existing Shares means the shares of Company Common Stock set forth opposite the Stockholder’s name on Schedule 1.A hereto.

Existing Shares has the meaning given to such term in sub-Clause 2.1 hereof.

Existing Shares means with respect to a Shareholder, the Ordinary Shares and ADSs Beneficially Owned by such Shareholder as of the date hereof, as set forth opposite such Shareholder’s name on Schedule A hereto.

Existing Shares means the 59,945,609 Shares in issue at the date of this agreement, including the Sale Shares;

Existing Shares of a Stockholder (and a Stockholder’s “Existing Shares”) means the shares of Company Common Stock that are Beneficially Owned by the specified Stockholder as of the date hereof, as set forth opposite such Stockholder’s name on Schedule 1 hereto.

Existing Shares has the meaning ascribed thereto in Section 2(a)(i).

Existing Shares means Company T Shares and Company T ADSs Beneficially Owned by a Company T Shareholder on the date hereof, as set forth opposite such Company T Shareholder’s name on Schedule 1 hereto.
