The proceeds of Revolver Loans shall be used by Borrowers solely (a) to satisfy all obligations under the Existing Securitization Facility; (b) to pay fees and transaction expenses associated with the closing of this credit facility; (c) to pay Obligations in accordance with this Agreement; and (d) for working capital and other lawful corporate purposes of Borrowers.
The Borrower will not permit the aggregate principal amount of Indebtedness of its Subsidiaries (excluding (a) any Indebtedness of a Subsidiary owed to the Borrower or another Subsidiary, but including any Guarantee by a Subsidiary of Indebtedness of the Borrower and (b) Indebtedness of a Subsidiary incurred in connection with the Existing Securitization Facility and the GAMI Loan Documents) at any time to exceed $100,000.
