Existing Notes Documents definition

Existing Notes Documents means the Existing Notes Indenture, the Existing Notes, the Existing Notes Guarantees, the Existing Notes Collateral Documents and any other agreements governing, securing or relating to any Existing Notes Obligations.

Existing Notes Documents means the indentures under which the Existing Notes are issued and all other instruments, agreements and other documents evidencing or governing the Existing Notes or providing for any security, guarantee or other right in respect thereof.

Existing Notes Documents means the Indenture between the Company and U.S. Bank National Association, as trustee, dated March 17, 2010, the 5.90% Notes due 2020 First Supplemental Indenture between the Company and U.S. Bank National Association, as trustee, dated March 17, 2010, the 4.80% Notes due 2020 Second Supplemental Indenture between the Company and U.S. Bank National Association, as trustee, dated September 20, 2010, the 6.25% Notes due 2040 Third Supplemental Indenture between the Company and U.S. Bank National Association, as trustee, dated September 20, 2010, the 4.875% Notes due 2021 Fourth Supplemental Indenture between the Company and U.S. Bank National Association, as trustee, dated March 23, 2011, the Fifth Supplemental Indenture between the Company and U.S. Bank National Association, as trustee, dated March 31, 2011 and the 3.95% Notes due 2018 Sixth Supplemental Indenture between the Company and U.S. Bank National Association, as trustee, dated December 13, 2012.

Examples of Existing Notes Documents in a sentence

• With respect to the Term Documents, the Term Lenders, the Existing Noteholders, the Existing Notes Documents, the New Senior Notes Documents, the New Senior Noteholders, the Convertible Notes Documents and the Convertible Notes Noteholders, make any payment or perform any act to or for the benefit of the Term Lenders, Existing Noteholders, the New Senior Noteholders or the Convertible Notes Noteholders, as applicable, that is prohibited by the terms of the Intercreditor Agreement.

• Promptly after the filing or delivery thereof, copies of all financial information, proxy materials and reports, if any, which Parent or any of its Restricted Subsidiaries shall publicly file with the SEC or to deliver to holders (or any trustee, agent or other representative therefor) of the Existing Notes pursuant to the terms of the Existing Notes Documents.

• Neither the Existing Notes Documents, the New Senior Notes Documents nor the Term Documents have been amended or modified to the extent that such amendment or modification is prohibited under this Agreement or the Intercreditor Agreement, or are in default due to the action or inaction of the applicable Loan Party or the applicable Subsidiary.

• No Loan Party is in default in any material respect in the performance, observance or fulfillment of any of its obligations contained in (i) the Existing Credit Agreement or the Existing Notes Documents or (ii) any material agreement to which it is a party, except, in the case of clause (ii), where such default would not reasonably be expected to have a Material Adverse Effect.

• The Obligations constitute “Senior Debt” and “Designated Senior Debt” under and as defined in the Existing Notes Documents.

More Definitions of Existing Notes Documents

Existing Notes Documents means the Existing Notes Indenture, the Existing Notes, the guarantees securing the Existing Notes, the Existing Notes Collateral Agreements, and any other agreements governing, securing or relating to any Existing Note Obligations, each as amended from time to time.

Existing Notes Documents means the “Finance Documents” under and as defined in the Existing Notes Terms.

Existing Notes Documents means (i) that certain Note Purchase Agreement, dated as of November 1, 2010, by and between Eclat Pharma and Deerfield Private Design International, Limited, a British Virgin Island corporation, (ii) that certain Pledge and Security Agreement, dated as of November 1, 2010, by and among Éclat, Eclat Pharma, Deerfield Management Company, L.P. Series C, as collateral agent for the purchasers, and the other parties party thereto, and (iii) any agreement entered into in connection with the foregoing from time to time.

Existing Notes Documents means, with respect to the Existing Notes Obligations, the loan agreements, credit agreements, notes, indentures, security documents and other operative agreements evidencing or governing such indebtedness and liens securing such indebtedness, including the Existing Notes Indenture and the Existing Notes Security Documents and each other agreement entered into for the purpose of securing the Existing Notes Obligations.

Existing Notes Documents means the Indenture between the Company and U.S. Bank National Association, as trustee, dated March 17, 2010, the 6.25% Notes due 2040 Third Supplemental Indenture between the Company and U.S. Bank National Association, as trustee, dated September 20, 2010, the Fifth Supplemental Indenture between the Company and U.S. Bank National Association, as trustee, dated March 31, 2011, the Seventh Supplemental Indenture between the Company and U.S. Bank National Association, as trustee, dated May 7, 2013, the 1.50% Convertible Senior Notes due 2025 Eighth Supplemental Indenture between the Company and U.S. Bank National Association, as trustee, dated December 19, 2017, the 5.75% Senior Notes due 2025 Indenture among the Company, the guarantors party thereto and U.S. Bank National Association, as trustee, dated February 27, 2017, the 5.75% Senior Notes due 2025 First Supplemental Indenture among the Company, the guarantors party thereto and U.S. Bank National Association, as trustee, dated August 7, 2017, the 4.875% Senior Secured Notes Indenture among the Company, the guarantors party thereto and U.S. Bank National Association, as trustee, dated December 19, 2017 and 5.875% Senior Guaranteed Notes Indenture among the Company, the guarantors party thereto and U.S. Bank National Association, dated May 13, 2019.

Existing Notes Documents means the Existing Notes, the Existing Notes Indenture and the “Security Documents” (as defined in the Existing Notes Indenture).

Existing Notes Documents means any and all agreements and guaranties relating to the Existing Notes, including but not limited to the Existing Notes and the Existing Notes Indenture, as amended, restated, modified and/or supplemented on or prior to the Effective Date, and as the same may be further amended, restated, modified and/or supplemented from time to time in accordance with the terms hereof and thereof.
