Existing Letter of Credit Exposure definition

Existing Letter of Credit Exposure means at any time, the sum of (a) the aggregate undrawn maximum face amount of each Existing Letter of Credit at such time, plus (b) the aggregate unpaid amount of all reimbursement obligations for payments made under Existing Letters of Credit at such time.
Existing Letter of Credit Exposure means, at any time, the aggregate amount of all Existing Letter of Credit Outstandings at such time in respect of Existing Letters of Credit. The Existing Letter of Credit Exposure of any Lender at any time shall be its Percentage of the aggregate Existing Letter of Credit Exposure at such time.
Existing Letter of Credit Exposure means the portion of the Bank's "Commitment" (as defined in the Existing Reimbursement Agreement) that is outstanding, whether drawn or undrawn, as of any date of determination.

  • On the date of each reduction of the aggregate Revolving Commitments pursuant to Section 2.01(c), the Borrower agrees to make a prepayment in respect of the outstanding amount of the Revolving Advances and the Letter of Credit Exposure to the extent, if any, that the aggregate unpaid principal amount of all Revolving Advances plus the sum of the Letter of Credit Exposure and the Existing Letter of Credit Exposure exceeds the Revolving Commitments, as so reduced.

Unless otherwise specified herein, the amount of a Letter of Credit at any time shall be deemed to be the stated amount of such Letter of Credit in effect at such time; provided, that with respect to any Letter of Credit that, by its terms or the terms of any document related thereto, provides for one or more automatic increases in the stated amount thereof, the amount of such Letter of Credit shall be deemed to be the maximum stated amount of such Letter of Credit after giving effect to all such increases, whether or not such maximum stated amount is in effect at such time.
