Exercise Agent definition

Exercise Agent has the meaning set forth in Section 3(e)(i).

  • By notice to each Holder, the Company may, at any time, appoint any Person (including any Subsidiary of the Company) to act as Registrar or Exercise Agent.

  • The Trustee, any Paying Agent, any Put Exercise Agent or Note Registrar, in its individual or any other capacity, may become the owner or pledgee of Notes with the same rights it would have if it were not Trustee, Paying Agent, Put Exercise Agent or Note Registrar.

  • All Notes surrendered for the purpose of payment, repurchase, put exercise, exchange or registration of transfer, shall, if surrendered to the Company or any Paying Agent or any Note Registrar or any Put Exercise Agent, be surrendered to the Trustee and promptly canceled by it, or, if surrendered to the Trustee, shall be promptly canceled by it, and no Notes shall be issued in lieu thereof except as expressly permitted by any of the provisions of this Indenture.

  • The terms Paying Agent and Put Exercise Agent include any such additional or other offices or agencies, as applicable.

  • The Company hereby initially designates the Trustee as the Paying Agent, Note Registrar, Custodian and Put Exercise Agent and the Corporate Trust Office and the office or agency of the Trustee in the Borough of Manhattan shall be considered as one such office or agency of the Company for each of the aforesaid purposes.

  • Nothing in this Indenture or in the Notes, expressed or implied, shall give to any Person, other than the parties hereto, any Paying Agent, any Put Exercise Agent, any authenticating agent, any Note Registrar and their successors hereunder, and the Noteholders, any benefit or any legal or equitable right, remedy or claim under this Indenture.

Exercise Agent means BankBoston, N.A., or its duly appointed successor who shall be serving as transfer agent and registrar for the Common Stock and who shall have been authorized by the Company to act as exercise agent for this Warrant in accordance with the Conversion Agent Agreement and the name, address and telephone line facsimile transmission number of which shall have been given to the Holder by notice from the Company.

  • Tender Agent means, with respect to each Group of 2021 Series J Variable Rate Bonds, The Bank of New York Mellon, a New York banking corporation, and its successors and any corporation resulting from or surviving any consolidation or merger to which it or its successors may be a party, or any successor Tender Agent appointed in accordance with the terms of this Supplemental Resolution.

  • Administrative Agent as defined in the preamble hereto.

  • Global Agent has the meaning specified in the preamble, and any duly qualified and appointed successor or successors of U.S. Bank thereto.

  • Exercise Price means the initial exercise price or the adjusted exercise price, depending on the context.

  • Warrant Exercise Price means $0.01 per share.

  • Exercise Notice has the meaning set forth in Section 3.2(1);

  • Creditor Representative means, with respect to Series 2023-2, the Indenture Trustee.

  • Exercise Payment means the amount of money equal to the Exercise Price multiplied by the number of Optioned Shares specified in the Notice of Exercise;

  • Fiscal Agent means the Fiscal Agent, if any, designated pursuant to the terms of the Policy.

  • Stock Tender Exercise means a Stock Tender Exercise as defined in Section 6.3(b)(ii).

  • Option Price means the price at which a Share may be purchased by a Participant pursuant to an Option.
