Examples of Exculpation in a sentence
No GP Covered Person shall be liable to the Fund or any Partner for any losses, claims, demands, actions, judgments, arbitral decisions, orders, fines, penalties or liability of any nature, including reasonable attorneys’ fees, out-of-pocket expenses and court costs (“Damages”) suffered or incurred by the Fund or any Partner, except to the extent that any such Damages are based upon, arise out of or otherwise are in connection with any Exculpation Exclusion Event.
The General Partner shall obtain and maintain prudent insurance policies to mitigate the risk to the Fund of the indemnification obligations of the Fund described in this Article 16 (Exculpation and Indemnification).
Section 10.1. No Warranty of Condition or Suitability by the City; Exculpation and Indemnification.
Tenant agrees that its waiver of Claims set forth in Section 19 below (Indemnity and Exculpation) is given with full knowledge of the presence, or possibility, of asbestos in or about the Premises and/or the Facility and the potential consequences of such fact.
This Waiver, Exculpation, Release and Discharge shall include, but shall not be limited to, any claims or causes of action under any tort theory including strict liability, failure to warn or negligence, including any claims or causes of action attributable directly or indirectly to the negligence of BPT, et al.
