Exclusivity Field means catheter-based treatment of cardiac arrhythmias featuring MR TRACKING under simultaneous MRI.

Exclusivity Field means the diagnosis, treatment or prevention in humans of any disease or medical indication. NOTE: PORTIONS OF THIS EXHIBIT ARE THE SUBJECT OF A CONFIDENTIAL TREATMENT REQUEST BY THE REGISTRANT TO THE SECURITIES AND EXCHANGE COMMISSION (“COMMISSION”). • Pieris shall retain the exclusive right to practice (including the grant of (sub)licenses) all Patents within the Lead Product IP and Collaboration Product IP outside the scope of such licenses and the Back-Up Hits Exclusivity Field, subject to the non-compete provisions of Section 8.2.

• During the Collaboration Term, Recursion will not conduct any research and development activities outside of this Collaboration either by itself or together with Third Parties in the Exclusivity Field to the extent that the focus of such activities is the discovery and validation of compounds directed primarily at [***] (each a “Restricted Project”).

More Definitions of Exclusivity Field

Exclusivity Field means all uses in the Field of any of the coagulation factors, that are, or which comprise, Factor VII, Factor VIII and/or Factor IX (and/or any variant of Factor VII, Factor VIII or Factor IX).

Advisor currently has agreements in the field of cell and gene therapies listed in Exhibit B hereto, and Advisor shall promptly notify the Company if Advisor enters into other agreements in the field of gene and cell therapy during the term of this Agreement (all such agreements, whether existing as of the Effective Date or entered into by Advisor during the term of this Agreement, collectively, the “Cell and Gene Therapy Agreements”). If at any time, in the reasonable determination of the Board, there is a conflict between the (i) Exclusivity Field and the Expanded Field and (ii) the Cell and Gene Therapy Agreements, the Parties shall meet and discuss in good faith how to resolve the conflict (the “Conflict Resolution”).
