Excluded Targets definition

Excluded Targets means [ * ].

Excluded Targets means the Target(s) described in Section 3.2.4 hereof as Excluded Target(s).

Excluded Targets means only those certain specific transgenes or targets for which Lonza or MEE has already licensed such transgenes or targets under a commercial license agreement or provided exclusive rights under an Existing Option Agreement with respect to such transgenes or targets prior to or within [***] of the Effective Date of this Agreement under an Existing Third Party License/Sublicense Agreement. At the request of TDTx, Lonza or MEE (as applicable) will use good faith reasonable efforts to obtain consent from the applicable Third Party to disclose, under appropriate written confidentiality obligations, the identity of the relevant Excluded Target(s) under the relevant Existing Third Party License/Sublicense Agreement via an employee representative to be designated by Lonza or MEE as the authorized discloser (“Gatekeeper”) of such confidential information regarding the identity of the transgenes or targets that are Excluded Target(s) hereunder.

Examples of Excluded Targets in a sentence

• If the Management Board determines that any or all such Targets are Excluded Targets, the Company and the Local Operating entities shall not Develop, Commercialize or otherwise Exploit such Targets and the Company shall provide the Parties written notice of the same.The Parties agree to cause the Company and the Local Operating Entities to comply with the terms of this Section 3.7.

• EXEL will not be restricted from conducting any activities: (A) related to any Excluded Targets, or (B) with respect to targets outside the Field.

• Notwithstanding any of the foregoing, each of the applicable percentages set forth in the tables above in Section 7.3(b) for any and all periods following the [***] anniversary of the Restatement Date shall be recalculated by multiplying each such percentage by the fraction of X/Y, where X is [***] and Y is the total number of Isis Partnered Excluded Targets for which contractual restrictions have not expired or been cleared as of the [***] anniversary of the Restatement Date.

• As of the Effective Date, without any further action by either Party or [***], Millennium shall be deemed to have submitted [***] Holding Option Requests identifying the [***] Targets (as defined in the [***] Agreement) as Proposed Targets, such [***] Targets shall not be deemed to be Excluded Targets and shall be designated as Holding Option Targets subject to Holding Options, and the Holding Option Grant Date with respect to such Holding Option shall be the Effective Date.

• Targets removed (either by removal or replacement) from the Rolling Target List pursuant to this Section 2.4(b) shall become Excluded Targets.

More Definitions of Excluded Targets

Excluded Targets means the Targets listed in Appendix 1.44 of this Agreement.

Excluded Targets means any targets that are set forth in Schedule 1 hereto.

Excluded Targets mean those certain Oncology Targets set forth on Exhibit B that shall be excluded from the Collaboration.

Excluded Targets means any Target for which Alnylam has, prior to the Effective Date, granted a Third Party exclusive rights under the US Tuschl II Patent Family, unless such Target has ceased to be an Excluded Target pursuant to Section 2.2 hereof.
