Excluded Compounds definition

Excluded Compounds means (a) the compounds listed on Schedule 3 attached hereto and incorporated herein by reference, and (b) the compounds licensed from Chiron under the License and Option Agreement between Chiron Corporation and Enanta, dated May 4th, 2005.

Excluded Compounds means [***] identified in Appendix 3, and [***].

Excluded Compounds means any compound, to the extent the same is: (i) disclosed in either Party’s patents or patent applications as of August 25, 2004; (ii) in the possession of either Party as of August 25, 2004 (as reflected in the books and records of such Party); (iii) acquired by a Party from a Third Party after August 25, 2004 by way of a merger with, or acquisition of, such Third Party; or (iv) independently developed by a Party outside of performance of the OCA pursuant to the OCA Research Program without use of or access to any Collaboration Technology, or any Confidential Information of the other Party; in each of (i) through (iv) above, as evidenced by such Party’s contemporaneous written records. Notwithstanding the foregoing, Excluded Compounds shall not include Licensed Pre-Existing Compounds. Further, both Parties agree that there are no Sunesis Excluded Compounds that are Target Selective against the BTK Target as of the Effective Date.

Examples of Excluded Compounds in a sentence

• Notwithstanding anything in this Section 11.6.1, BMS shall not have the right to make any publications with respect to Licensed Compounds for which ITI has first filed an IND as provided in Section 2.8, or with respect to Excluded Compounds.

• ITI grants to BMS a fully paid-up, worldwide, nonexclusive license to practice under and to utilize any ITI Improvement Patent Rights, solely to research, discover, Develop, make, have made, use, import, export, offer to sell, and sell compounds and pharmaceutical products in the BMS Retained Field and to make, have made, use, import and export any Licensed Compounds identified in Appendix 4 except for the Excluded Compounds for internal research purposes in the Field.

• For clarity, Sanofi has no licenses or other rights with respect the Excluded Compounds except with as expressly provided in Section 10.1.4.

• VERTEX shall not perform any work under this Research Agreement with respect to Excluded Compounds or Excluded Kinases.

• At least thirty (30) days prior to commencement of any Aurora Screening Program, Senomyx shall submit to Aurora in writing a list of the Excluded Compounds designated for a particular screen to be used as a positive control in such screens, which list is subject to the approval of the Steering Committee, which approval shall not be unreasonably withheld.

Excluded Compounds means the compounds described in Schedule D attached to this Agreement.

Excluded Compounds means any chemical compounds the therapeutic effect of which in humans is thought to be principally derived from an effect on one or more Excluded Kinases. "Excluded Compounds" shall also include the Compound known as [***]. An "analog" shall mean any compounds (or salts thereof) which are claimed in [***] which NOVARTIS can demonstrate by written record were synthesized by NOVARTIS before the Effective Date. "Excluded Compounds" shall also include any Compounds directed toward modulation of a Kinase which has been added to the list of Excluded Kinases by the operation of Section 4.4 hereof; provided that in no event shall an Excluded Compound include a Drug Product Candidate.

Excluded Compounds has the meaning set forth in Section 2.4.4.

Excluded Compounds means (a) those compounds and subclasses of compounds which are specifically identified on Schedule 1.2(b) hereto and which are excluded from the definition of "Base Compounds" as referenced above; and (b) any Program Compounds which are hereafter excluded from the Research Program under Section 7.4(b) hereof.
