Exchange Senior Notes definition

Exchange Senior Notes means senior notes issued under the Senior Notes Indenture in exchange for Senior Notes, which Exchange Senior Notes are substantially identical to the originally issued Senior Notes and shall be issued pursuant to a registered exchange offer in compliance with the terms of the Registration Rights Agreement; provided that in no event will the issuance of any Exchange Senior Notes increase the aggregate principal amount of Senior Notes theretofore outstanding or otherwise result in an increase in the interest rate applicable to the Senior Notes theretofore outstanding.

Exchange Senior Notes means the Senior Notes issued in the Exchange Offer pursuant to Section 2.06(f) hereof.

Exchange Senior Notes shall have the meaning provided in the Credit Agreement.

Exchange Senior Notes means the Senior Notes of the Issuer issued in an Exchange Offer pursuant to Section 2.06(f) hereof.

Exchange Senior Notes means debt securities issued by the Company, identical in all material respects to the Senior Notes (except that (i) interest thereon shall accrue from the last date on which interest was paid on the Senior Notes or, if no such interest has been paid, from December 22, 1997 and (ii) the interest rate step-up provisions and the transfer restrictions pertaining to the Senior Notes will be eliminated in the Exchange Senior Notes), to be issued under the Indenture.

Exchange Senior Notes means the senior notes issued by the Company pursuant to a registered exchange offer or private exchange offer for the Closing Date Senior Notes pursuant to the Senior Note Indenture, which senior notes are substantially identical securities to the applicable Closing Date Senior Notes; provided that (a) the aggregate principal amount of the Senior Notes, together with the issuance of any such senior notes, shall not exceed the aggregate principal amount of the Closing Date Senior Notes, (b) the interest rate of any such senior notes shall not exceed the interest rate of the applicable Closing Date Senior Notes, (c) the maturity date of such senior notes shall not be earlier than the maturity date of the applicable Closing Date Senior Notes, (d) the collateral for such senior notes shall be identical to the Collateral for the Closing Date Senior Notes and (e) the senior notes shall constitute “Notes” under the Intercreditor Agreement for all purposes thereof.

Exchange Senior Notes means any 6.15% Exchange Senior Notes due May 15, 2002, 6.45% Exchange Senior Notes due May 15, 2005, and 6.75% Exchange Senior Notes due May 15, 2009 of the Issuer issued in exchange for Initial Senior Notes pursuant to the Registration Rights Agreement.

Exchange Senior Notes means the Series B 12.50% Notes due 2004 (the "Exchange Senior Notes") containing terms substantially identical to the Senior Notes (except that they will not contain terms with respect to the transfer restrictions under the Securities Act (other than requiring minimum transfers thereof to be in blocks of $100,000 aggregate principal amount) and will not provide for any Liquidated Damages thereon).
