Exchange Price definition

Exchange Price means as of any date, $1,000, divided by the Exchange Rate as of such date.
Exchange Price shall have the meaning specified in the Indenture.

Exchange Price means the arithmetic average of the volume weighted average prices for a share of the Common Stock on the principal United States securities exchange or automated or electronic quotation system on which the Common Stock trades, as reported by Bloomberg, L.P., or its successor, for each of the three consecutive full Trading Days ending on and including the last full Trading Day immediately prior to the Exchange Date, subject to appropriate and equitable adjustment for any stock splits, reverse splits, stock dividends or similar events affecting the Common Stock.
