Excess Products definition

Excess Products means with respect to FWA RSS Products ordered by Axtel in any given month, the FWA RSS Products that exceed the greater of: (i) [*] FWA RSS Units or (ii) [*] more of the amount of FWA RSS Units ordered by Axtel for delivery in the prior month (for example if Axtel orders 3,000 RSS units for delivery in July and 12,000 RSS units for delivery in August, the Excess Products for August would be 7,500 RSS units (amount comes from 3,000 of the prior month plus the 50% of such amount (1,500). The result is 4,500 so the Excess Product are 7,500 in order to complete the 12,000 units).
Excess Products has the meaning set forth in Section 3.1(c). “Execution Date” shall mean the date first above written.
Excess Products means Products that, when counted together with all other Products having the same make and/or model number and received by Distributor under the same Purchase Order, are in excess of the quantities of the Products ordered under that Purchase Order.

  • Except with respect to the Excess Products, Seller may not enter into any agreement or arrangement under which Products described in Section 3.1(a) may be claimed by any Person other than Buyer for purpose of satisfying such Person’s obligations to PJM or any other independent system operator having jurisdiction over such Person or the Project.

  • For the avoidance of doubt, Seller shall have the right to sell to third parties all RAR related products that are related to the Excess Products, including capacity tags, capacity credits, and all installed capacity and other capacity-related products pertaining to such Excess Products, so long as such sale does not limit or reduce the ability of Buyer to receive the Products required to be delivered to Buyer under this Agreement.

  • Reseller will be deemed to have accepted the Products unless it Notifies Supplier in writing of any Nonconforming Goods or Excess Products during the Inspection Period and furnishes written evidence or other documentation as required by Supplier.

  • A Remarketing Agent, in its individual capacity, either as principal or agent, may also engage in or have an interest in any financial or other transaction with the Company as freely as if it did not act in any capacity hereunder.

  • In the mathematical model, indexed variance is used to indicate matrices.

  • If Ocean Spray declines or fails to exercise the Excess Products Option for any calendar year, then the Excess Products Option shall lapse with respect to all subsequent calendar years for the Term of this Agreement, and Ocean Spray shall not have the right to exercise the Excess Products Option in any future years.

Related to Excess Products

  • Business Products means all products or services that have been or are currently sold, licensed, provided, supported, distributed or otherwise disposed of by the Business, including all products or services in development.

  • Bundled Product means Product sold together with any other product(s) or service(s) at a single unit price, whether packaged together or separately, and which other product(s) or service(s) have material independent value from Product itself.

  • Finished Products means any one or more of the following petroleum oils, or a mixture or combination of these oils, to be used without further processing except blending by mechanical means:

  • SAP Products means Software, Documentation, SAP Materials, Services, Subscription Services, Cloud Services and Maintenance Services. “SAP SDK” means SAP software development kit that includes tools such as APIs, source code, redistributable files and instructions. “Services” means SAP’s then-current services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Hemp products means all products made from industrial hemp,

  • Eligible Products collectively means certain Dell and Dell EMC hardware, software product(s) and services related to the Dell Technologies Client Solutions Group (“CSG”) and Infrastructure Solutions Group (“ISG”) lines of business in the product categories (each an “Eligible Product Category”).   • the Products means all products and associated documentation to be supplied under this Contract;

  • processed products means goods placed under a processing procedure which have undergone processing operations;

  • Products means information resources technologies that are, or are related to, EIR.

  • New Products means any product which is not an Enhanced Product or 2 Existing Product but which is substantially similar to an Existing Product with respect to design and function and possesses reasonable performance improvements. If Company desires to purchase an Enhanced or New Product(s) from Supplier, Company shall so notify Supplier and provide Supplier the opportunity to manufacture such Enhanced or New Product(s), subject to the following conditions and procedures.

  • Aerosol product means a pressurized spray system that dispenses product ingredients by means of a propellant contained in a product or a product's container, or by means of a mechanically induced force. “Aerosol Product” does not include “Pump Spray.”

  • Refined Products means gasoline, diesel fuel, jet fuel, asphalt and asphalt products, and other refined products of crude oil.

  • End Products as used in this clause, means those articles, materials, and supplies to be acquired for public use under this contract.

  • Tobacco products means cigars, cigarettes, cheroots, stogies, periques, granulated, plug cut, crimp cut, ready rubbed, and other smoking tobacco, snuff, snuff flour, moist snuff, cavendish, ping and twist tobacco, fine-cut and other chewing tobaccos, shorts, refuse scraps, clippings, cuttings and sweepings of tobacco, and other kinds and forms of tobacco, prepared in such manner as to be suitable for chewing or smoking in a pipe or otherwise, or both for chewing and smoking.

  • Other Products means all products and services, other than an Advance, Credit Product or Derivative Transaction, offered by the Bank to any Obligor from time to time, including correspondent banking services, mortgage purchase programs and affordable housing and community investment products and services.

  • Recycled product means a product containing recovered material, or post-consumer recovered material, or both.

  • Final Product means a product that is not used in producing other products and is built and intended for use outdoors, provided the final product has not deteriorated or has otherwise become a potential source of contaminants.

  • Third Party Products means the Third Party Software and Third Party Hardware.

  • Manufactured end product means any end product in product and service codes (PSCs) 1000-9999, except—

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Cannabis products means cannabis that has undergone a process whereby the plant material has been transformed into a concentrate, including, but not limited to, concentrated cannabis, or an edible or topical product containing cannabis or concentrated cannabis and other ingredients.

  • Combination Products means any product containing both a pharmaceutically active agent or ingredient which constitutes a Licensed Product and one or more other pharmaceutically active agents or ingredients which do not constitute Licensed Products.

  • Excluded Products means the items described on the applicable restricted products per country, any other applicable Program Policy, or any other information made available to you by LINIO.

  • Product means any deliverable under the Contract, which may include commodities, services, technology or software.

  • Recyclable Product means the ability of a product and its packaging to be reused, reconditioned for use, or recycled through existing recycling collection programs.

  • Finished Product means a cannabis product in its final form to be sold at a retail premises.
