Examples of Excess Cash Flow Payment Date in a sentence
Any Institutional Lender that wishes to decline receipt of its Institutional Term Loan B share pursuant to this Section 2.10(d), shall notify the applicable Administrative Agent and the Borrower of its election to decline its Institutional Term Loan B share prior to 10:00 a.m. (New York City time) five (5) Business Days prior to the Annual Excess Cash Flow Payment Date.
Level Zero Excess Cash Flow Payment Date means: (a) for the First Level Zero Required Excess Cash Flow Amount, the Interest Payment Date falling in October 2011;(b) for the Second Level Zero Required Excess Cash Flow Amount, the Interest Payment Date falling in October 2012; and (c) for the Third Level Zero Required Excess Cash Flow Amount, the Interest Payment Date falling in October 2013.
The Certificate should include calculations in reasonable detail necessary to establish the amount of Excess Cash Flow for the applicable Excess Cash Flow Payment Period as well as the amount and dates of the required mandatory repayments pursuant to Section 5.02(e) of the Credit Agreement, together with the certification that the required mandatory repayments have been (or will be) made on the applicable Excess Cash Flow Payment Date.
