All Excess Capital Expenditures must be approved by the written consent of a Majority of the Owners.
If any Net Operating Expenses or Excess Capital Expenditures that were originally not paid when due are subsequently repaid by a Defaulting Owner, the Manager shall give each Nondefaulting Owner a credit in the amount of any additional Net Operating Expenses paid by such Nondefaulting Owner as a result of this Section toward such Nondefaulting Owner’s next payments of estimated Net Operating Expenses.
If, on the basis of such Capital Expenditures Report, Tenant is entitled to a payment of any Excess Capital Expenditures Amount as described in Section 7.6.1 above, then, notwithstanding anything to the contrary, such payment shall be due and payable to Tenant only as and when the conditions of Section 3.1 or 3.2 for the return of the Security Deposit or Letter of Credit, as applicable, have been met.
The Manager shall give notice of each Annual Meeting to all Owners in writing at least thirty (30) days in advance and in accordance with Section 9.1. The Annual Meeting shall include a period for comments and open discussion by the Owners regarding any outstanding issues related to the Parking Area, and shall also include, if necessary, a special vote of the Owners to approve any Excess Capital Expenditures.
