Evaluation Information definition

Evaluation Information will have the meaning set forth in Section 6.5.

Evaluation Information means any and all information which concerns or relates to the Disclosing Company or the Proposed Transaction, whether oral, written or electronic, that is furnished by the Disclosing Party or its Representatives prior to, on or after the date hereof to the Receiving Company or any of its Representatives, as well as any reports, analyses, compilations, data, studies, or other documents developed or prepared by the Receiving Company or its Representatives that include, incorporate, refer to, reflect or are based in whole or in part on any such information; provided that notwithstanding the foregoing, Evaluation Information shall not include any information which (a) was already known to the Receiving Company; (b) was or is independently developed or derived by the Receiving Company or its Representatives without reliance on the Evaluation Information; (c) is now or hereafter becomes generally available to the public other than as a consequence of a breach of obligations under this Agreement; or (d) is now or becomes available to the Receiving Company on a nonconfidential basis from a source (other than the Disclosing Company) if, to the Receiving Company’s knowledge, such source was not subject to any confidentiality obligation or other prohibition against disclosing such information to the Receiving Company.

More Definitions of Evaluation Information

Evaluation Information means any information or data, in any form, concerning the operation or performance of the Appliance derived by You from Your possession and use of the Appliance hereunder.

Related to Evaluation Information

  • Location information means information concerning the location of an electronic device that, in whole or in part, is generated or derived from or obtained by the operation of an electronic device on a cellular telephone network or a location information service rather than obtained from a service provider.

  • Supplier's Confidential Information means any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, Know-How, personnel and suppliers of the Supplier, including IPRs, together with information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential;

  • Buyer Confidential Information shall have the meaning set forth in Section 5.1.

  • Seller Confidential Information has the meaning set forth in Section 6.4.3.

  • Market Information means an electronic document (also available in paper form upon request) located on the Trading Platform which sets out the commercial details for each Market, including but not limited to: Margin Factors, the minimum and maximum Quantity and Our Spread. In the event you elect to use a third party hosting or trading application (for example, MetaTrader), information specific to such third party hosting or trading application located on the Website shall supplement the Market Information; however, to the extent there are any inconsistencies the Market Information will prevail. Note that certain components of Market Information may not be available via a mobile application and must be accessed via desktop.

  • Commercial Information means information regarding the purchase and sale of goods and services, including, but not limited to, information regarding marketing strategy, production data, assessments of goods and services, mineral exploration records, and compilations of data regarding commercial activity.

  • Evaluation Material shall have the meaning ascribed thereto in Section 6.3(a).

  • State Confidential Information means any and all State Records not subject to disclosure under CORA. State Confidential Information shall include, but is not limited to, PII, PHI, PCI, Tax Information, CJI, and State personnel records not subject to disclosure under CORA. State Confidential Information shall not include information or data concerning individuals that is not deemed confidential but nevertheless belongs to the State, which has been communicated, furnished, or disclosed by the State to Contractor which (i) is subject to disclosure pursuant to CORA; (ii) is already known to Contractor without restrictions at the time of its disclosure to Contractor; (iii) is or subsequently becomes publicly available without breach of any obligation owed by Contractor to the State; (iv) is disclosed to Contractor, without confidentiality obligations, by a third party who has the right to disclose such information; or (v) was independently developed without reliance on any State Confidential Information.

  • Customer's Confidential Information means all Personal Data and any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, know-how, personnel, and suppliers of the Customer, including all IPRs, together with all information derived from any of the above, and any other information clearly designated as being confidential (whether or not it is marked "confidential") or which ought reasonably be considered to be confidential;

  • Registration Information means information about an individual that is collected for the purpose of registering the individual for the provision of health services, and includes the individual’s health services number and any other number assigned to the individual as part of a system of unique identifying numbers that is prescribed in the regulations.

  • Customer Confidential Information means any information or compilation of information, not generally known, which is provided to the Employer by its customers or potential customers, is proprietary to the customer or potential customer and relates to the customer’s or potential customer’s existing or reasonably foreseeable business. Information provided to the Employer by a customer or potential customer shall be treated as Customer Confidential Information.

  • User Information means User Compliance Information and User Financial Information.

  • Purchaser Confidential Information means all confidential or proprietary documents and information concerning the Purchaser or any of its Representatives; provided, however, that Purchaser Confidential Information shall not include any information which, (i) at the time of disclosure by the Company, the Seller Representative or any of their respective Representatives, is generally available publicly and was not disclosed in breach of this Agreement or (ii) at the time of the disclosure by the Purchaser or its Representatives to the Company, the Seller Representative or any of their respective Representatives, was previously known by such receiving party without violation of Law or any confidentiality obligation by the Person receiving such Purchaser Confidential Information. For the avoidance of doubt, from and after the Closing, Purchaser Confidential Information will include the confidential or proprietary information of the Target Companies.
