ESOP Loan Documents definition

ESOP Loan Documents means, collectively, the ESOP Loan Agreements, the ESOP Notes and all other agreements, documents and instruments executed and/or delivered in connection with any of the foregoing, as each of the foregoing now exists and may hereafter be amended, modified, supplemented, extended, renewed, restated or replaced.
ESOP Loan Documents means the Loan Agreement dated as of August 11, 1994, between the ESOP and NationsBank providing for a term loan to the ESOP in the original principal amount of $2,386,670, the ESOP Guaranty, and all promissory notes, pledge agreements and other documents, instruments and agreements now or hereafter delivered to NationsBank evidencing or relating to such indebtedness, as any of such documents may hereafter be amended, modified or supplemented as therein permitted;
ESOP Loan Documents means (i) that certain Term Loan Agreement dated as of December 1, 1988 between Hartmarx Employee Stock Ownership Plan Trust and Wachovia Bank and Trust Company, N.A., as amended and assigned to Borrower, (ii) Guaranty of Hartmarx Corporation dated as of December 1, 1988, in favor of Wachovia Bank and Trust Company, N.A., as amended, (iii) documents set forth in (i) and (ii) herein, as modified, amended, revised, financed and/or refinanced prior to the Restatement Effective Date, and (iv) any and all amendments, replacements, refinancings and modifications, from time to time, of the documents set forth in (i), (ii) and (iii) herein in accordance with the terms hereof.

  • This Security Agreement, together with the Credit Agreement and other Loan Documents and ESOP Loan Documents, constitute and express the entire understanding between the parties hereto with respect to the subject matter hereof, and supersede all prior agreements and understandings, inducements, commitments or conditions, express or implied, oral or written, except as herein contained.

ESOP Loan Documents means this ESOP Loan Agreement, the ESOP Notes, and the Stock Pledge Agreement. 1.7 "ESOP Notes" shall mean the promissory notes signed by the Trustee and delivered to the Company to evidence the ESOP Loan. 1.8 "Exempt Loan Rules" shall mean the rules set forth in Section 4975(d)(3) of the Code, Section 54.4975-7(b) of the Treasury Department Regulations, Section 408(b)(3) of ERISA, and Section 2550.408b-3 of the Department of Labor Regulations. 1.9 "Plan" shall mean the CoVest Bancshares, Inc. Employee Stock Ownership Plan. 1.10 "Shares" shall mean the Eighty-One Thousand Four Hundred and Seventy- Seven (81,477) shares of common stock of the Company purchased by the Trustee with the proceeds of the ESOP Loan. 1.11 "Stock Pledge Agreement" shall mean the agreement between the Trustee and the Company, dated February 22, 2002 pursuant to which the Trustee has agreed to pledge the Shares to the Bank to secure the obligations of the Trust under this Agreement. 1.12 "Trust" shall mean the CoVest Bancshares, Inc. Employee Stock Ownership Plan Trust which has been established by the Company to implement the Plan. 1.13 "Trustee" shall mean James L. Roberts, Paul A. Larsxx xxx Xxxxxxx X. Co. Employee Stock Ownership Trust Agreement, dated September 28, 2005, between the Company and the ESOT Trustee, as the same now exists and may hereafter be amended, modified, supplemented, extended, renewed, restated or replaced. “ESOT Trustee ” means Greatbanc Trust Company and any successors in such capacity. “EU Bail-In Legislation Schedule ” means the EU Bail-In Legislation Schedule published by the Loan Market Association (or any successor Person), as in effect from time to time. “Eurodollar ”, when used in reference to any Loan or Borrowing, refers to whether such Loan, or the Loans comprising such Borrowing, bear interest at a rate determined by reference to the Adjusted LIBO Rate. 21

  • Mortgage Loan Documents means, with respect to the Mortgage Loan, the Mortgage Loan Agreement, the Mortgage, the Notes and all other documents now or hereafter evidencing and securing the Mortgage Loan.
