Escrowed Cash definition

Escrowed Cash shall have the meaning set forth in Section 1.2(c).

More Definitions of Escrowed Cash

Escrowed Cash means an amount in cash which is equal to the Estimated Merger Consideration minus $154,000,000 but in no event shall the Escrowed Cash exceed $15,000,000; provided, that if the Estimated Merger Consideration is equal to or less than $154,000,000, than the Escrowed Cash shall be $0.00.

The Escrowed Bridge Preferred Shares, and any shares of Parent Common Stock or Permanent Preferred Stock into which such shares are converted, will appear as issued and outstanding on the balance sheet of Parent and will be legally outstanding under applicable state law.
