Escrow Term definition

Escrow Term means the period extending eighteen (18) months from the Closing Date.

More Definitions of Escrow Term

Escrow Term means the period beginning upon the Effective Date and ending upon the Escrow Account being released by the Escrow Agent to Pappagallo in accordance with the terms outlined in Section 3.4. In no event shall the Escrow Term extend beyond August 26, 2015.

"XXXX-XXXXX-XXXXXX ACT" means the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976, as amended. "INDEMNIFIED PARTY" has the meaning set forth in Section 8(i)(i) below. "INDEMNIFYING PARTY" has the meaning set forth in Section 8(i)(i) below. "IRS" means the Internal Revenue Service. "KNOWLEDGE" means actual knowledge after reasonable investigation. "LIABILITY" means any liability (whether known or unknown, whether asserted or unasserted, whether absolute or contingent, whether accrued or unaccrued, whether liquidated or unliquidated, and whether due or to become due), including any liability for Taxes. "MERGER" has the meaning set forth in Section 2(a) below.
