Escrow Closing Date definition

Escrow Closing Date means , [one year and 90 days following the effective date of the registration statement filed with the Securities and Exchange Commission], unless prior to such date, the Company provides written notice to the Escrow Agent of the extension of the Escrow Closing Date in accordance with applicable federal and state laws, in which case the Escrow Closing Date shall mean the extended date established by such extension.
