Examples of ERISA Affiliates in a sentence
The Company is not a party to an “employee benefit plan,” as defined in Section 3(3) of the Employee Retirement Income Security Act of 1974, as amended (“ERISA”) (an “Employee Plan”), which: (i) is subject to any provision of ERISA and (ii) is or was at any time maintained, administered, or contributed to by the Company or any of its ERISA Affiliates (as defined hereafter).
Do, and cause each of its ERISA Affiliates to do, each of the following: (a) maintain each Plan in compliance in all material respects with the applicable provisions of ERISA, the Internal Revenue Code and other federal or state law, (b) cause each Plan that is qualified under Section 401(a) of the Internal Revenue Code to maintain such qualification, and (c) make all required contributions to any Plan subject to Section 412, Section 430 or Section 431 of the Internal Revenue Code.
Except as disclosed in the Registration Statement, the Preliminary Prospectus, and the Prospectus, there is no liability in respect of post-retirement health and medical benefits for retired employees of the Company or any of its ERISA Affiliates, other than medical benefits required to be continued under applicable law.
Borrower will comply, and will cause each of its ERISA Affiliates to comply, in all respects with the provisions of ERISA.
