Equity Financing Sources definition

Equity Financing Sources shall have the meaning set forth in Section 4.8(a).

Equity Financing Sources means the Persons that have committed to provide the equity financing contemplated by, or have otherwise entered into agreements in connection with, the Equity Commitment Letters or alternative equity financings in connection with the Transactions, and any other agreements entered into pursuant thereto or relating thereto, together with their Affiliates and Representatives and Representatives of Affiliates involved in the Equity Financing and their successors and assigns.

Equity Financing Sources has the meaning set forth in Section 4.20.

Examples of Equity Financing Sources in a sentence

• The Equity Financing Sources have committed to capitalize Parent at the Closing with an aggregate equity contribution equal to approximately $6.32 billion, subject to the terms and conditions set forth in the Equity Commitment Letters (we refer to such financing as the “Equity Financing”).

• Zendesk, Parent and the Equity Financing Sources have entered into certain Fee Funding Agreements, pursuant to which, and subject to the terms and conditions contained therein, each Equity Financing Source has agreed to pay a portion of the payment of the Parent Termination Fee and certain fees and expenses payable by Parent or Merger Sub pursuant to the Merger Agreement.

• Purchaser acknowledges that the information and access provided to it pursuant to Section 6.02(a) shall be subject to the terms and conditions of the Confidentiality Agreement; provided, that “Representatives” as defined in the Confidentiality Agreement shall be deemed to include the Equity Financing Sources.

More Definitions of Equity Financing Sources

Equity Financing Sources means each of the parties to the OpCo Purchaser Equity Commitment Letter (other than OpCo Purchaser) and their respective former, current and future Affiliates, and each of former, current and future equityholders, members, partners, or representatives and any heirs, executors, successors and assigns, in each case, of any of the foregoing.

Equity Financing Sources means the Persons (other than Parent) that have entered into the Equity Commitment Letter.

Equity Financing Sources means the Persons (if any) that have committed to provide or otherwise entered into agreements in connection with the Equity Financing, including the parties to the Equity Commitment Letters and any joinder agreements entered into pursuant thereto or relating thereto.

Equity Financing Sources means any Person (other than Buyer or an Affiliate of Buyer) that has entered into any engagement letter, underwriting agreement, purchase agreement or other agreement with Buyer or any of its Subsidiaries in connection with, or that is otherwise acting as an arranger, bookrunner, underwriter, initial purchaser, placement agent, administrative agent, trustee or a similar representative in respect of, all or any part of any equity financing for the financing of the Transactions contemplated hereby.

Equity Financing Sources means the investor parties to the Securities Purchase Agreement.

Equity Financing Sources means the Persons that are counterparties to the Equity Commitment Letters and their officers, directors, employees, agents and representatives.

Equity Financing Sources means the Persons that have entered or will enter into agreements with Buyer in connection with the Equity Financing, and any joinder agreements or definitive agreements entered into pursuant thereto, including the underwriters, bookrunning managers, initial purchasers, placement agents and other entities that are part of the Equity Financing, together with their respective Affiliates, officers, directors, employees, agents, representatives and advisors. For the avoidance of doubt, neither of Buyer nor any of its Affiliates shall be Equity Financing Sources.
