Examples of Equity Financing Commitments in a sentence

• There are no side letters or contracts, agreements or understandings to which Parent, Sub, or the Equity Financing Parties is a party related to the funding or investing, as applicable, of the Equity Financing other than as expressly set forth in the Equity Financing Commitments.

• The Equity Financing Commitments are in full force and effect and are the legal, valid, binding and enforceable obligations of Parent and Sub, as the case may be, and the Equity Financing Parties.

Offeror shall keep the Company reasonably informed on a reasonably current basis of the status of its efforts to consummate the Equity Financing. Notwithstanding the foregoing, in no event shall the receipt or availability of any funds or financing (including, for the avoidance of doubt, the Equity Financing) by Offeror or any Affiliate or any other financing or other transactions be a condition to any of Offeror’s obligations hereunder (it being understood that the Company’s ability to obtain specific performance to draw down the full proceeds of the Cash Equity (as defined in the SPA) is subject to the limitations set forth in Section 8.5(b) of the SPA, and that the Offer Conditions include certain requirements related to the SPA as set forth in paragraph (d) of Exhibit A hereto).
