Equity Distribution definition

Equity Distribution means any issuance of Equity Interests by the Company, including without limitation, any shares of Common Stock issued in connection with the Omnibus Incentive Plan (as such term is defined in the Business Combination Agreement).
Equity Distribution shall have the meaning provided in Section 7.5.
Equity Distribution shall have the meaning set forth in Section 2.1(m).

Examples of Equity Distribution in a sentence

  • The ATM Program will be effective until the earlier of the issuance and sale of all of the Common Shares issuable pursuant to the ATM Program and February 14, 2024, unless terminated prior to such date by the Issuer or the Agent in accordance with the terms of the Equity Distribution Agreement.

  • Upon the occurrence of the Post-Effective Date Equity Distribution, all of the New Equity Interests held in escrow by the Liquidation Trustee shall be relinquished and distributed to Holders of Allowed Equity Interests in Class 8, and the Liquidation Trust’s contingent interest in the New Equity Interests shall terminate.
