Equity Award Ratio definition

Equity Award Ratio means the quotient obtained by dividing (i) the Merger Consideration by (ii) the SJW Measurement Price (rounded to three decimal places).
Equity Award Ratio means the quotient determined by dividing (a) the Merger Consideration, by (b) the average of the last reported sale price of a share of Parent Common Stock on Nasdaq during the ten (10) trading days immediately preceding the Effective Time.

Equity Award Ratio means an amount equal to the Offer Price, divided by the average closing price per share of Analog Devices Common Stock on the NASDAQ Global Select Market during the five consecutive trading days ending on the Closing Date.

  • Equity Award means stock options, stock appreciation rights, restricted stock, restricted stock units, performance shares or any other form of award that is measured with reference to the Stock.

  • Long-Term Performance Award means an award under Section 10 below. A Long-Term Performance Award shall permit the recipient to receive a cash or stock bonus (as determined by the Committee) upon satisfaction of such performance factors as are set out in the recipient's individual grant. Long-Term Performance Awards will be based upon the achievement of Company, Subsidiary and/or individual performance factors or upon such other criteria as the Committee may deem appropriate.

  • RSU means a contractual right granted pursuant to Section 9 that is denominated in Shares. Each RSU represents a right to receive the value of one Share (or a percentage of such value) in cash, Shares or a combination thereof. Awards of RSUs may include the right to receive dividend equivalents.

  • Equity Award Exchange Ratio means the sum of (x) the Exchange Ratio plus (y) the fraction obtained by dividing (i) the Cash Consideration by (ii) the Parent Stock Price.
