Equity Award Conversion Ratio definition

Equity Award Conversion Ratio means the sum, rounded to the nearest one thousandth, of (a) the Exchange Ratio and (b) the quotient obtained by dividing (i) the Cash Consideration by (ii) the VWAP of AbbVie Shares.
Equity Award Conversion Ratio means the quotient of (i) the Offer Price divided by (ii) the Parent Trading Price.
Equity Award Conversion Ratio means the quotient of (i) the Merger Consideration divided by (ii) the average of the volume weighted averages of the trading prices of Parent Shares on the NYSE, on each of the five (5) consecutive trading days ending on (and including) the trading day that is two (2) trading days prior to the Closing Date.
