This Agreement, together with the Restrictive Covenants Agreement, the Equity Documents, and the Severance Plan, constitutes the complete agreement between you and the Company, contains all of the terms of your employment with the Company and supersedes any prior agreements, representations or understandings (whether written, oral or implied) between you and the Company related to the subject matter herein.
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements between the parties concerning such subject matter, including the Prior Agreement, provided that the Continuing Obligations and Equity Documents remain in full force and effect.

Under the Company’s Plans (as defined below) (i) options to acquire 29,697,268 shares of Common Stock have been granted and are outstanding, (ii) 4,132,902 restricted stock units have been granted and are outstanding, and (iii) 5,384,050 shares of Common Stock remain available for future issuance to directors, executive officers, employees and consultants of the Company pursuant to the Company’s Amended and Restated 2007 Equity Incentive Plan (the “2007 Plan”).
Subject to Clause 20.4 (Equity Cure), any requirement of Clause 20 (Financial Covenants) is not satisfied.
