ENVIRONMENT, SAFETY AND HEALTH PROTECTION. (a) Seller shall perform this Agreement in a manner that ensures adequate protection for workers, the public, and the environment, and shall be accountable for actions of itself and its lower-tier subcontractors, agents and employees. Seller shall exercise a degree of care commensurate with the work and the associated hazards. Seller shall ensure that management of environment, safety and health (ES&H) functions and activities is an integral and visible part of Seller’s work planning and execution process. In the event that Xxxxxx fails to comply with this Agreement, Company may, without prejudice to any other legal or contractual rights, issue an order stopping all or any part of the work; thereafter a start order for resumption of work may be issued at Company’s discretion. Seller shall make no claim for an extension of time or for compensation or damages by reason of or in connection with such work stoppage. In addition, Company may require, in writing, that Seller remove from the work any employee the Company deems unsafe, incompetent, careless, or otherwise objectionable.

ENVIRONMENT, SAFETY AND HEALTH PROTECTION. SELLER shall, at all times, conduct all operations under this Agreement in a manner to avoid the risk of endangerment to health, bodily harm to persons, damage to property, and damage to the natural environment. SELLER shall comply with any additional procedures and or specific requirements as prescribed in this Agreement. SELLER shall, in accordance with SELLER’s established practices, have sole responsibility for taking all environmental compliance considerations and safety and health precautions necessary and continuously inspecting all equipment, materials, facilities, and Work to discover, determine and correct any conditions which might result in any of the aforementioned risks and is to advise of any safety related requirements such as hazardous material protection (include Material Safety Data Sheet (MSDS) for applicable materials), and precautions during performance of the Work. The Seller is responsible for complying with the WEMS Integrated Safety Management System Program, WEMS/PORTS-55, Laws, Regulations, and Directives from contract DE-C10000004and or their own plans and or procedures as approved by WEMS ESH&Q Manager or designee. Attachment 1 to these T&C’s will identify the mandatory procedures that must be followed and training to be taken by the Seller. Seller is responsible for assuring all employees are trained and qualified and the adherence to any and all procedures and policies. The subcontractor will provide a summary of hours worked each month under the subcontract by third working day of the following month to WEMS's ESH&Q Manager. The SELLER shall report immediately any safety or environmental incident to the United States Enrichment Corporation’s Plant Shift Superintendent (by calling 3025) and then advise WEMS's ESH&Q Manager or designated representative. SELLER shall furnish all environmental documentation, procedures, and plans, as well as safety equipment and instructions required for the Work and shall maintain and furnish accident, injury, spill or release occurrence, and any other records and reports required by applicable laws and regulations or by BUYER.

Seller shall convey the requirement of this clause to its suppliers. Seller shall not deliver goods that contain asbestos mineral fibers.

  • Environmental, Health and Safety Laws There does not exist any violation by the Borrower or any Subsidiary of any applicable federal, state or local law, rule or regulation or order of any government, governmental department, board, agency or other instrumentality relating to environmental, pollution, health or safety matters which will or threatens to impose a material liability on the Borrower or a Subsidiary or which would require a material expenditure by the Borrower or such Subsidiary to cure. Neither the Borrower nor any Subsidiary has received any notice to the effect that any part of its operations or properties is not in material compliance with any such law, rule, regulation or order or notice that it or its property is the subject of any governmental investigation evaluating whether any remedial action is needed to respond to any release of any toxic or hazardous waste or substance into the environment, the consequences of which non-compliance or remedial action could constitute an Adverse Event.

  • Environmental Protection Except as set forth in Schedule 5.13 annexed hereto:

  • Environmental, Health and Safety Matters (a) The Company has complied and is in compliance with all Environmental, Health, and Safety Requirements.

  • Data Protection All personal data contained in the agreement shall be processed in accordance with Regulation (EC) No 45/2001 of the European Parliament and of the Council on the protection of individuals with regard to the processing of personal data by the EU institutions and bodies and on the free movement of such data. Such data shall be processed solely in connection with the implementation and follow-up of the agreement by the sending institution, the National Agency and the European Commission, without prejudice to the possibility of passing the data to the bodies responsible for inspection and audit in accordance with EU legislation (Court of Auditors or European Antifraud Office (XXXX)). The participant may, on written request, gain access to his personal data and correct any information that is inaccurate or incomplete. He/she should address any questions regarding the processing of his/her personal data to the sending institution and/or the National Agency. The participant may lodge a complaint against the processing of his personal data with the [national supervising body for data protection] with regard to the use of these data by the sending institution, the National Agency, or to the European Data Protection Supervisor with regard to the use of the data by the European Commission.

  • Whistleblower Protection Notwithstanding anything to the contrary contained herein, no provision of this Agreement shall be interpreted so as to impede the Employee (or any other individual) from reporting possible violations of federal law or regulation to any governmental agency or entity, including but not limited to the Department of Justice, the Securities and Exchange Commission, the Congress, and any agency Inspector General, or making other disclosures under the whistleblower provisions of federal law or regulation. The Employee does not need the prior authorization of the Company to make any such reports or disclosures and the Employee shall not be not required to notify the Company that such reports or disclosures have been made.

  • OSHA Where employees are engaged in activities not covered under the Occupational Safety and Health Act of 1970, they shall not be required or permitted to work, be trained, or receive services in buildings or surroundings or under working conditions which are unsanitary, hazardous or dangerous to the participants’ health or safety.
