ENTIREAGREEMENT. This Agreement, along with its schedules, constitutes the entire Agreement between the Parties with respect to the subject matter hereof and supersedes any and all understandings, any other agreements, allotment letter, correspondences, arrangements whether written or oral, if any, between the Parties in regard to the said apartment/plot/building, as the case may be.
ENTIREAGREEMENT. This Agreement constitutes the entire agreement and understanding between the parties concerning the subject matter hereof and supersedes all prior written and oral agreements, proposals, promises, and representation of the parties respecting the subject matter hereof. No representation orpromise hereafter made, nor any modification or amendment of this Agreement, shall be binding upon either party, unless made in writing and signed by the parties hereto.
ENTIREAGREEMENT. ThisRestated Agreement,includingtheattachedSchedulesandAnnexes,embodiestheentireagreementandunderstandingofthePartiesinrespectofthetransactionscontemplatedbythisRestated Agreement. Therearenorestrictions,promises,representations,warranties,covenantsorundertakingsotherthanthoseexpresslysetforthorreferredtohereinortherein. ThisRestated AgreementsupersedesallprioragreementsandunderstandingsbetweenthePartieswithrespecttothetransactionscontemplatedbythisRestated Agreement.
ENTIREAGREEMENT. This Agreement supersedes all prior discussions and agreements between the Parties with respect to the subject matter hereof and contains the sole and entire agreement between the Parties hereto with respect to the subject matter hereof.
ENTIREAGREEMENT. This Agreement and its attached Exhibits represent the entire agreement between the parties, and fully supersede any and all prior agreements or understandings between the parties pertaining to the licensing of the Licensed Mark by LICENSOR to LICENSEE. This Agreement may not be amended or modified, in whole or in part, except by a written instrument duly executed by all of the parties hereto. The failure of any party to insist upon strict adherence to any provision of this Agreement, in whole or in part, on one or more occasions, shall not constitute a waiver of its right to insist upon the strict performance of that or any other provision or part thereof in the future. This Agreement and any amendments hereto may be signed in one or more counterparts, each of which, when signed and delivered, shall be deemed to be an original. All such counterparts together shall constitute one and the same valid and binding agreement, even if all of the parties have not signed the same counterpart. Signatures to this Agreement may be delivered electronically or by facsimile, in which case the electronic or facsimile copy of an original signature shall be deemed to be an original signature. ENTIREAGREEMENT. This Agreement supersedes all previous agreements, or representations, either written or verbal, between FPL and Applicant, made with respect to the matters herein contained, and when duly executed, constitutes the entire agreement between the parties; provided however, that all terms and conditions contained in our Underground Residential Distribution Facilities Installation Agreement dated relating to the installation of underground facilities shall be adheredto.
ENTIREAGREEMENT. A. This Agreement constitutes the sole and entire existing Agreement bet\veen the parties and supersedes all prior practices, whether oral or written, and expresses all obligations of, and restrictions imposed upon, the District and the Association. This Agreement is subject to amendment, alteration or additions, only by a subsequent written agreement between, and executed by, the District and the Union. The waiver of any breach, term or condition of the Agreement by either party shall not constitute a precedent in the future enforcement of all its terms and conditions.
ENTIREAGREEMENT. This DPA and the Service Agreement constitute the entire agreement of the Parties relating to the subject matter hereof and supersedes all prior communications, representations, or agreements, oral or written, by the Parties relating thereto. This DPA may be amended and the observance of any provision of this DPA may be waived (either generally or in any particular instance and either retroactively or prospectively) only with the signed written consent of both Parties. Neither failure nor delay on the part of any Party in exercising any right, power, or privilege hereunder shall operate as a waiver of such right, nor shall any single or partial exercise of any such right, power, or privilege preclude any further exercise thereof or the exercise of any other right, power, or privilege.
ENTIREAGREEMENT. Except for the Mutual Non-Disclosure Agreement, dated as of ---------------- September 6, 2000, between the Parties, this Agreement constitutes the entire understanding between the Parties hereto and their affiliates with respect to its subject matter and supersedes all prior or contemporaneous agreements, representations, warranties and understandings of such Parties (whether oral or written). No promise, inducement, representation or agreement, other than as expressly set forth herein, has been made to or by the Parties hereto. This Agreement and its schedules hereto may be amended only by written agreement, signed by the Parties to be bound by the amendment. Parole evidence and extrinsic evidence shall be inadmissible to show agreement by and between such Parties to any term or condition contrary to or in addition to the terms and conditions contained in this Agreement.
ENTIREAGREEMENT. This agreement constitutes the entire agreement between you and us for the provision of the Monitoring Services. Any prior arrangements, agreements, presentations or undertakings are superseded. No modification or alteration of any clause of this agreement will be valid except in writing signed by both of us.
