Enforcement Expenses definition

Enforcement Expenses shall include all reasonable attorneys’ fees, court costs, transcript costs, fees of experts, travel expenses, duplicating costs, printing and binding costs, telephone charges, postage, delivery service fees, and all other out-of-pocket disbursements or expenses of the types customarily incurred in connection with an action to enforce indemnification or advancement rights, or an appeal from such action. Expenses, however, shall not include fees, salaries, wages or benefits owed to Indemnitee.

Enforcement Expenses has the meaning set forth in Section 7.3(e).

Enforcement Expenses shall include all reasonable attorneys’ fees, retainers, court costs, transcript costs, fees of experts and witnesses, travel expenses, and all other costs, disbursements or expenses of the types customarily incurred in connection with an action to enforce indemnification or advancement rights, or an appeal from such action, including, without limitation, the premium, security for and other costs relating to any cost bond, supersedes bond or other appeal bond or its equivalent.

Examples of Enforcement Expenses in a sentence

• You agree to indemnify us, on full indemnity basis, and pay us on demand any Enforcement Expenses incurred by us in connection with enforcing the terms of this Agreement.

• On or before July 1 of each year during which Bonds are Outstanding, the Authority shall deliver an Officer’s Certificate to the Trustee estimating the Operating Expenses (and separately stating the Enforcement Expenses), the Tax Obligations that will be incurred or paid by the Authority during the next succeeding twelve-month period commencing on July 1.

• The Officer’s Certificate may also set forth Operating Expenses (including Enforcement Expenses) that have already been incurred by the Authority but that have not yet been paid, provided that the Operating Cap shall nonetheless continue to apply to such amounts.

• In the event that the Authority fails to deliver an Officer’s Certificate on or prior to any July 1, the Authority will be deemed to have delivered an Officer’s Certificate certifying that the amount of the Operating Expenses (including Enforcement Expenses) and the Tax Obligations for the next succeeding Fiscal Year will be the same as in the then-current Fiscal Year.

• BIL shall pay a share of Enforcement Expenses pursuant to Section 4.7 of the Trust Agreement.

More Definitions of Enforcement Expenses

Enforcement Expenses means all amounts due to the Collateral Agent and/or any appointee or agent thereof, including any costs, expenses and taxes incurred in connection with the realisation of, or enforcement with respect to the Collateral Assets in a Collateral Pool and distribution of such proceeds and/or, where applicable, delivery of Collateral Assets to the Holders of the related Secured Securities and any other unpaid amounts payable to the Collateral Agent by the Issuer under the Agency Agreement;

Enforcement Expenses means the costs which are reasonably and properly incurred by the Council in issuing a Reminder Notice, obtaining a Summary Warrant and associated administrative expenses which may be incurred in recovering unpaid BID Xxxx;
