Ending Average Stock Price definition

Ending Average Stock Price shall be calculated as the average Closing Stock Price for the last 20 trading days of the applicable Performance Period.
Ending Average Stock Price means the average closing price of the Company’s Stock over the 60 calendar day period ending on the third anniversary of the Effective Date; provided, however, that in the event of a Change of Control, the “Ending Average Stock Price” shall equal the price per share of the Company’s Stock to be paid to the holders thereof in accordance with the definitive agreement governing the transaction constituting the Change of Control (or, in the absence of such agreement, the closing price per share of the Company’s Stock for the last trading day prior to the consummation of the Change of Control).
