Employment Cessation Date definition

Employment Cessation Date means the earlier of Employee’s last day of active employment with Conduent or Employee’s termination date as reflected in Conduent’s records.
Employment Cessation Date means the later of Employee’s last day of active employment with Conduent or Employee’s termination date as reflected in Conduent’s records.

  • For purposes of this Agreement, “Worker” shall mean any individual who was employed by the Company during any portion of the twelve-month period prior to the Employment Cessation Date with whom Employee, during such twelve-month time period, had contact or communications.

  • However, nothing in this Agreement shall prevent Employee from working in a position in a subdivision of a Competing Business that does not provide any of the products or services provided by the Company as of the Employment Cessation Date.

  • For purposes of this agreement, the “Restricted Area” shall mean only those certain States within the United States of America and in such other countries wherein the Company actually produced, provided or sold products or services during the twelve (12) month period prior to the Employment Cessation Date.

  • The Executive shall serve in the Transition Role through June 30, 2023 (such date, the “Target Employment Cessation Date”), or such earlier date if Executive’s employment is terminated prior to the Target Employment Cessation Date pursuant to the terms of this Agreement.

  • The date on which Executive’s employment with the Company terminates, regardless of whether such date is the Target Employment Cessation Date or an earlier date, is referred to herein as the “Separation Date”.

  • The Company will be obligated to ensure that all these formalities are completed in a timely manner to enable the payment of the Severance Payments as per clause 2.2 within 1 week from the Employment Cessation Date.

  • The foregoing restriction shall only apply within a twenty-five (25) mile radius of the location of the Bank's corporate headquarters and any Bank office or Bank branch operated by the Bank or its affiliates as of the Employment Cessation Date.

  • The term "Client" as used in this Section 4 of the Agreement shall be defined as any individual or entity that paid or engaged the Bank for mortgage services in the six (6) month period immediately preceding the Employment Cessation Date.

  • Employment Termination Date means the date of termination of your employment with the Company or a Subsidiary, as applicable.

  • Termination of Employment means that the Executive ceases to be employed by the Company for any reason, voluntary or involuntary, other than by reason of a leave of absence approved by the Company.

  • Final Termination Date means the last date of the final year in which the Applicant is required to Maintain Viable Presence and as further identified in Section 2.3.E of this Agreement.

  • Severance Date means the date on which an Eligible Employee incurs a Severance.

  • Stated Termination Date means December 31, 2000.

  • Date of Termination means the date of receipt of the Notice of Termination or any later date specified therein, as the case may be; provided, however, that (i) if the Executive's employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination and (ii) if the Executive's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.
