Employee Benefit Plans and Arrangements definition

Employee Benefit Plans and Arrangements means any “employee benefit planof Seller or its Affiliates, as such term is defined in Section 3(3) of the Employee Retirement Income Security Act of 1974, as amended, and any employment, severance or other similar contract, arrangement or policy and each plan or arrangement (written or oral) providing for compensation, profit sharing, bonuses, stock options, stock appreciation or other forms of incentive compensation, deferred compensation, insurance coverage (including any self insured arrangements), health or medical benefits, workers’ compensation, disability or sick leave benefits, supplemental unemployment benefits, vacation benefits, severance benefits, retirement benefits, or post-employment or retirement benefits (including compensation, pension, health, medical or life insurance benefits) which is entered into, maintained or contributed to by Seller or its Affiliates and covers any employee of Seller or its Affiliates.
Employee Benefit Plans and Arrangements. Except as set forth in SCHEDULE 5.18, the Company does not sponsor, maintain, or support, is not otherwise a party to, and does not have any liability or contingent liability under any plan, program, fund, arrangement or contractual undertaking, whether for the benefit of a single individual or for more than one individual, and whether or not funded, which is in the nature of (i) an employee pension benefit plan; (ii) an employee welfare benefit plan as defined in Section 3(1) of ERISA; or (iii) any incentive or other benefit arrangement for employees, their dependents and/or their beneficiaries; or (iv) any of the types of plans identified in the following list, or plans similar in nature or intent thereto:

  • Employee Benefit Plans shall have the meaning set forth in Section 3.20(a).

  • Benefit Arrangement means at any time an employee benefit plan within the meaning of Section 3(3) of ERISA which is not a Plan or a Multiemployer Plan and which is maintained or otherwise contributed to by any member of the ERISA Group.

  • Canadian Benefit Plans means all material employee benefit plans of any nature or kind whatsoever that are not Canadian Pension Plans and are maintained or contributed to by any Credit Party having employees in Canada.

  • Employee Welfare Benefit Plan has the meaning set forth in ERISA Section 3(1).

  • Company Benefit Plan has the meaning specified in Section 4.13(a).

  • Seller Benefit Plans has the meaning set forth in Section 4.10(a).

  • Parent Benefit Plans has the meaning set forth in Section 5.07(b).

  • Company Employee Plan means any plan, program, policy, practice, contract, agreement or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written or unwritten or otherwise, funded or unfunded, including without limitation, each "employee benefit plan," within the meaning of Section 3(3) of ERISA which is or has been maintained, contributed to, or required to be contributed to, by the Company or any Affiliate for the benefit of any Employee, or with respect to which the Company or any Affiliate has or may have any liability or obligation;

  • Defined Benefit Plan means each Benefit Plan which is subject to Part 3 of Title I of ERISA, Section 412 of the Code or Title IV of ERISA.

  • Health benefit plan means a policy, contract, certificate or agreement offered or issued by a health carrier to provide, deliver, arrange for, pay for or reimburse any of the costs of health care services.

  • Pension Benefit Plan means at any time any employee pension benefit plan (including a Multiple Employer Plan, but not a Multiemployer Plan) which is covered by Title IV of ERISA or is subject to the minimum funding standards under Section 412 of the Code and either (i) is maintained by any member of the Controlled Group for employees of any member of the Controlled Group; or (ii) has at any time within the preceding five years been maintained by any entity which was at such time a member of the Controlled Group for employees of any entity which was at such time a member of the Controlled Group.

  • Pension Plans The meaning specified in Section 4.1(v).

  • Purchaser Benefit Plans has the meaning set forth in Section 8.7(d).

  • Buyer Benefit Plans has the meaning set forth in Section 6.10(f).

  • Foreign Benefit Arrangement any employee benefit arrangement mandated by non-US law that is maintained or contributed to by any Group Member or any ERISA Affiliate.
