Email Fee definition

Email Fee means a fee due monthly from Client to Synacor throughout the Term equal to the sum of (i) [*] per Activated Email Box per month (expressly excluding the Activated Email Boxes hosted in [*] and [*]) and (ii) the actual payments made by Synacor (and adjusted for any credits or refunds and without any markup) to CenturyLink’s Affiliate that are directly associated with the hosting of the Activated Email Boxes in [*]. The [*] per Activated Email Box will be due for each Activated Email Box beginning upon the migration of each such Activated Email Box into [*] and each month throughout the remainder of the Term. Beginning upon the earlier of (a) the date all Activated Email Boxes that are going to be migrated are migrated to [*] or (b) March 31, 2018, [*] throughout the remainder of the Term, [*].

More Definitions of Email Fee

Email Fee means a fee that is due to Synacor each month throughout the Term for the hosting of the Activated Email Boxes which shall be equal to the sum of a) [*1 times the number of Activated Email Boxes that are hosted hereunder by Synacor in Synacor’s or its subcontractor’s hosting center (but expressly excluding those hosted by Synacor in the Savvis hosting center) during such month so long as any Activated Email Boxes remain in such hosting center, and b) [*1. The parties agree that, with respect to the Email Fee component contained in clause a) above, commencing on the month that such component would be less than [*1, such Email Fee component shall be subject to [*1 per month in any month that any Activated Email Box was hosted hereunder by Synacor other than through Savvis.

Related to Email Fee

  • Pupil fee means a fee, deposit or other charge imposed on pupils, or a pupil’s parents or guardians, in violation of Section 49011 of the Education Code and Section 5 of Article IX of the California Constitution, which require educational activities to be provided free of charge to all pupils without regard to their families’ ability or willingness to pay fees or request special waivers, as provided for in Hartzell v. Connell (1984) 35 Cal.3d 899. A pupil fee includes, but is not limited to, all of the following:

  • Hookup fee means a fee for the installation and inspection of any pipe, line,

  • Connection Fee means a fee charged by a local entity to pay for the costs of

  • Initiation fee means a fee charged by us to you in order to create a credit facility for you;

  • referral fee means any form of compensation, direct or indirect, paid for the referral of a client to or from a registrant.

  • Renewal Fee means the fee that Borrower must pay Coast upon renewal of this Agreement pursuant to Section 9.1 hereof, in the amount set forth on the Schedule.

  • Initial Fee means any fee charged to initiate a contract

  • Introduction Fee means the fee payable by the Client to the Agency for an Introduction resulting in an Engagement;

  • Rental Fee A fee charged by the Contractor for the rental of a compactor or roll-off container.

  • Professional Fee Amount means the aggregate amount of Professional Fee Claims and other unpaid fees and expenses that Professionals estimate they have incurred or will incur in rendering services to the Debtors prior to and as of the Confirmation Date, which estimates Professionals shall deliver to the Debtors as set forth in Article II.B of the Plan.

  • Additional Fee means a fee, in addition to the licence fee, imposed by the municipality on a business at any time during the term of the licence for costs incurred by the municipality attributable to the activities of the business;

The Administration Fee includes items such as the preparation of this Lease Contract and related Documents, setting up your account ledger and other time, costs and expenses associated with the processing of this Lease Contract. The Administration Fee will be refunded to you ONLY if: i) an Exclusive Bed Space cannot be leased to you, ii) your Application is not approved by Owner, or iii) you withdraw your Application within 72 hours after signing the Application (pursuant to the terms of the Application). Otherwise, the Administration Fee shall be retained by Owner as liquidated damages, including but not limited to situations where you either: i) fail to sign this Lease Contract after approval by Owner, or ii) 72 or more hours have passed after your execution of the Application. You agree that Owner’s damages from your failure to sign the Lease Contract or attempted withdrawal of your Application are difficult to ascertain, and the Administration Fee is a reasonable estimate of those damages.  Common Areas: “Common Areas” are those areas located within the Unit that are not exclusively leased to other persons residing in the Unit.

  • Origination Fee means any origination fee payable to the Department by the lender with respect to any Trust Student Loan.

  • Hire Fee the hire fee specified in Item 13.

  • Tuition Fee means the basic tuition fee applicable to specific programmes and shall include auxiliary fees which are for required instruction but shall exclude any other fees such as international student differential fees, co-op fees, and student union fees.

  • Joint Fee Letter means the Joint Fee Letter, dated July 20, 2021, among the Borrowers, Citibank, Bank of America, JPMorgan, and certain of the Arrangers.

  • Reservation Fee means the fee set forth in the applicable Program Guide, relating to the aggregate principal amount of the particular Mortgage Loans which the Participant has committed to originate and sell to the Servicer (which is not applicable to MCC stand-alone product) pursuant to a Reservation Request, payable contemporaneously with the submission of the corresponding application package, all in accordance with the procedures set forth in the applicable Program Guide.

  • Reverse Termination Fee has the meaning set forth in Section 7.02(b).

  • Early Termination Fee has the meaning set forth in Section 7.2.

  • Inspection Fee means a fee payable to Lender or Loan Servicer for performing any inspection required by this Agreement in an amount not to exceed $500.00 per inspection.

  • Entrance fee means money paid in a lump sum or installments or property transferred pursuant to a continuing care agreement before initiation of continuing care for 1 or more individuals and that confers the right to the continuing care.

  • Contract Fee means the lump sum rates as outlined in Schedule ‘B’ – Quote Form.

  • Access Fee means a fee prescribed for the purposes of section 22(6) or 54(6), as the case may be;

  • Licence Fee : means the fee prescribed by the JCRA under Article 17 of the Telecommunications (Jersey) Law and payable by the Licensee;
