Eligible Successor Servicer definition

Eligible Successor Servicer means a Person which, at the time of its appointment as Servicer, (i) is legally qualified and has the corporate power and authority to service the Receivables transferred to the Trust, (ii) has demonstrated the ability to service a portfolio of similar receivables in accordance with the standards set forth in subsection 6.2(c) of the Servicing Agreement and (iii) has a combined capital and surplus of at least $5,000,000.
Eligible Successor Servicer means a Person which, at the time of its appointment as Servicer (i) is legally qualified and has the corporate power and authority to service the Purchased Loans transferred to the Trust, (ii) has demonstrated the ability to service a portfolio of similar Loans in accordance with high standards of skill and care in the sole determination of the Servicer and (iii) has a combined capital and surplus of at least $100,000,000; provided that no such Person shall be an Eligible Successor Servicer if it is a direct competitor of the Guarantor or its Subsidiaries.
Eligible Successor Servicer means a Person which, at the time of its appointment as Servicer (i) is legally qualified and has the corporate power and authority to service the Receivables transferred to the Trust in accordance with the terms of the Servicing Agreement, (ii) has demonstrated the ability to service a portfolio of similar receivables in accordance with reasonable standards of skill and care and (iii) has a combined capital and surplus of at least $5,000,000.

Examples of Eligible Successor Servicer in a sentence

  • The Trustee and the Company, or the Company (with the consent of the Trustee) shall, as promptly as reasonably possible after the receipt of a Termination Notice or Resignation Notice, as the case may be, in accordance with the preceding sentence, appoint an Eligible Successor Servicer as Successor Servicer (the "Successor Servicer").

  • The Trustee shall, as promptly as reasonably possible after the giving of or receipt of a Termination Notice or Resignation Notice, as the case may be, appoint an Eligible Successor Servicer as successor servicer (the "SUCCESSOR SERVICER").

More Definitions of Eligible Successor Servicer

Eligible Successor Servicer means an entity (which may include the Trustee) which is not a direct competitor of Ingrxx Xxxro Inc., (except for affiliates of GE Capital other than GE's IT Solutions business) unless Ingrxx Xxxro Inc. waives such restriction at the time of its appointment as Master Servicer (i) is servicing a portfolio of trade receivables, (ii) is legally qualified and has the capacity to service the Receivables, (iii) has demonstrated the ability to service professionally and completely a portfolio of similar accounts in accordance with high standards of skill and care, (iv) shall have a net worth of at least $100,000,000, (v) is qualified and, if required, licensed to use the software that the Master Servicer is then currently using to service the Receivables or obtains the right to use or has software which is adequate to perform its duties under the Pooling Agreement and the Servicing Agreement (including pursuant to a license from or other agreement with Ingrxx Xxxro Inc. or any of its Affiliates).

  • Predecessor Servicer Work Product shall have the meaning specified in Section 8.2(c) of the Sale and Servicing Agreement.

  • Master Servicer Event of Termination As defined in Section 7.01 hereof.

  • Special Servicer Servicing Personnel The divisions and individuals of the Special Servicer who are involved in the performance of the duties of the Special Servicer under this Agreement.

  • FTPS Unit Servicing Agent means FTP Services LLC or any successor FTPS Unit servicing agent appointed as hereinafter provided."
