Eligible Stock definition

Eligible Stock means the issued and outstanding shares of Common Stock (i) that have been issued pursuant to the Agreement and Plan of Merger (the "Merger Agreement") by and among the Company, the Security Holder, LOPI Acquisition Corp. and Louisiana Onshore Properties, Inc., (ii) that have been issued upon conversion of the Series A Convertible Preferred Stock issued pursuant to the Merger Agreement; (iii) that have been purchased by the Security Holder upon the exercise of its rights pursuant to the Stock Rights and Restrictions Agreement; and (iv) that may be issued pursuant to Section 2.7 of the Stock Rights and Restriction Agreement.
Eligible Stock means the 7,082,030 shares of Common Stock issued in the name of Security Holder, representing all equity shares of the Company beneficially owned by Security Holder after giving effect to the transactions contemplated by the Option Agreement.
