Eligible Domestic Inventory definition

Eligible Domestic Inventory means, as of any particular date, the portion of the Inventory of each Borrower Party that the Administrative Agent, in the exercise of its Permitted Discretion, determines to be Eligible Domestic Inventory; provided, however, that without limiting the right of the Administrative Agent to establish other criteria of ineligibility, Eligible Domestic Inventory shall not include any of the following Inventory:

Eligible Domestic Inventory means Inventory owned by a Domestic Borrower:
Eligible Domestic Inventory means that portion of the Company's inventory that is at all times located in the United States and that conforms to the warranties regarding the inventory set forth herein and/or in the governing security agreement(s) in favor of the Administrative Agent and that the Administrative Agent determines from time to time, based on credit policies, market conditions, the Company's business and other matters, is eligible for use in calculating the Borrowing Base. For purposes of determining the Borrowing Base, Eligible Domestic Inventory (unless the Administrative Agent agrees otherwise in writing) shall not include work in process, obsolete or discontinued inventory, supply items, packaging, the freight portion of raw materials, inventory in the possession or control of a third person for processing or storage, consigned inventory, or inventory in transit. All Eligible Domestic Inventory shall be valued at the lesser of cost (on a standard cost FIFO basis) or market.
Eligible Domestic Inventory means, with respect to the Company and its Domestic Subsidiaries at any date, the amount equal to the value (determined in accordance with the Inventory Valuation Standard and expressed in Dollars) of all inventory located within the United States of the Company or any of its Domestic Subsidiaries (the "Inventory"), net of any Inventory Reserves. Unless otherwise approved from time to time in writing by the Agent, no Inventory shall be "Eligible Domestic Inventory" if:

Eligible Domestic Inventory means, at any time, the aggregate of Borrower’s Inventory that (a) consists of finished goods, in good, new, and salable condition, which is not perishable, obsolete, unsalable, damaged, or defective, and is not comprised of works in progress, packaging materials, or supplies; (b) meets all applicable governmental standards; (c) has been manufactured in compliance with the Fair Labor Standards Act; (d) is not subject to any Liens, except the Liens granted or in favor of Bank under this Agreement or any of the other Loan Documents; (e) is situated at one of the locations in the United States set forth in the Representations or other location of which Borrower has notified Bank pursuant to this Agreement, and in the case of Inventory in the possession of Jabil and ProWorks, Bank has received written acknowledgment from Jabil and ProWorks substantially in the form of Exhibit B attached hereto; and (f) not otherwise deemed unacceptable by Bank, in its sole discretion.
