Eligible Class Members definition

Eligible Class Members means any and all individuals who have not yet opted-in to this action but who may elect to do so as part of the procedure contemplated by this Agreement.
Eligible Class Members means all Settlement Class Members who do not file timely and valid exclusion requests from the Settlement. Plaintiffs are included within the term Settling Class Members.
Eligible Class Members means Class Members whose shares of Globe common stock were exchanged for shares of Ferroglobe common stock in the Proposed Transaction, excluding Excluded Stockholders (as defined below).

Examples of Eligible Class Members in a sentence

  • Eligible Class Members who made a Qualifying Purchase and submit a Claim Form pursuant to the terms and conditions of this Agreement are entitled to a payment of Two Dollars and No Cents ($2.00) per Qualifying Purchase up to a maximum of Twenty Dollars and No Cents ($20.00) (the “Initial Claim Amount”) per household, subject to the adjustments set forth in Section IV.E.

  • Settlement Awards shall be made to Eligible Class Members as set forth below.

  • All Eligible Class Members shall be paid a Settlement Award from the Net Settlement Amount.

  • For Eligible Class Members who previously had timely claims for water-related damages denied by Sony for their in-warranty Mobile Devices, as identified in Sony’s records, Sony shall issue a check of 50% of the at-issue Manufacturer’s Suggested Retail Price (“MSRP”) for the applicable Mobile Device, as indicated in Exhibit 9 to the Settlement Agreement, which is found on the website, to those Class Members who complete and timely return an In-Warranty Claim Form during the Claim Period.

  • Eligible Class Members with proof of purchase or the serial number of their Blender may receive a Benefit of either (1) a cash refund of $5 (for a qualifying 600-watt model Blender purchase) or $7 (for a qualifying 900-watt model Blender purchase); or (2) a discount code for $10 off the purchase or a new 600-watt model Blender or $15 off the purchase of a new 900-watt model Blender.


More Definitions of Eligible Class Members

Eligible Class Members means Class Members who held shares of Empire common stock at the Closing and received or were entitled to receive the Merger Consideration for their Eligible Shares.
Eligible Class Members means all former holders of Eligible Shares, whether such holders were stockholders of record or beneficial owners of Eligible Shares, excluding Defendant Highland Capital Management, L.P. and its affiliates, immediately prior to the Merger on October 12, 2010.
Eligible Class Members means Class Members who tendered in the Tender Offer and/or held shares of H&H common stock at the Closing andtherefore received or were entitled to receive the Transaction Consideration for their Eligible Shares. For the avoidance of doubt, Eligible Class Members excludes Excluded Stockholders.
Eligible Class Members means the Certified Class Members and those Settlement Class Members who do not timely opt out of the Agreement pursuant to the terms of the Preliminary Approval Order and who timely submit a Claim Form pursuant to the terms of the Agreement and the Preliminary Approval Order and who have not previously released the Released Claims.
Eligible Class Members has the meaning set out in article 3.4;
Eligible Class Members means Class Members who hold shares of MCC common stock at the Closing and therefore are entitled to receive a portion of the consideration available to MCC shareholders in connection with the MCC Merger, in accordance with the terms of the MCC Merger Agreement (the “Merger Consideration”) for their Eligible Shares. For the avoidance of doubt, Eligible Class Members exclude all Excluded Stockholders.
Eligible Class Members refers to those Settlement Class Members who timely submit Claim Forms to participate in the Settlement Award. The Claim Forms shall be substantially complete and shall include an individual release signed by the Eligible Class Member consistent with Section II.D.2.b below.
