Eligible Associate definition

Eligible Associate means any person regularly employed by the Company or a Subsidiary on a full-time salaried basis who satisfies all of the requirements of Section 6.

• The ESOP is to extend to directors, employees, contractors or prospective participants who meet that criteria on appointment (“Eligible Participant”) (or “the Eligible Associate of such person”) of the Company or an associated body corporate of the Company as the Board may in its discretion determine.

• The PRP is to extend to Directors, employees, contractors or prospective participants who meet that criteria on appointment ( Eligible Person) (or the Eligible Associate of such person) of the Company or an associated body corporate who the Board determines to be eligible to participate in the PRP.

• For example, a CIC Week of Severance Pay for an Eligible Associate whose: (i) annual base salary (excluding the pay and benefits listed above) is $52,000, and (ii) whose average annual cash bonus received during the three (3) years preceding the CIC Severance is $15,600, would be $1,000 ($52,000/52 weeks) plus $300 ($15,600/52 weeks), equaling a CIC Week of Severance Pay of $1,300.

• Acceptance Form means a form for the acceptance of offers made to an Eligible Person or Eligible Associate in such form as the Board may approve from time to time.

• The Plan Administrator may require each Eligible Associate to submit, in such form as it shall deem reasonable and acceptable, proof of any information which the Plan Administrator finds necessary or desirable for the proper administration of the Plan.

More Definitions of Eligible Associate

Eligible Associate means an Associate who (i) has the legal capacity to enter into binding contractual obligations, and (ii) is not in a category of Associates designated by the Employer as ineligible to participate in the Plan.

Eligible Associate means (a) an individual to whom an offer of employment as an Officer or 090 Employee has been made, who is selected by the Plan Administrator for eligibility and has been so notified; (b) an individual in his or her first calendar year as an Officer or 090 Employee who is selected by the Plan Administrator for eligibility and has been so notified; and (c) an individual in his or her second or later calendar year as an Office or 090 Employee, at such times that Officer or 090 Employee is eligible to participate in this Plan as provided in Section 3 of this Plan.

Eligible Associate means an associate eligible to defer amounts under this Plan, as determined under Section 2.1 hereof. “ERISA” means the U.S. Employee Retirement Income Security Act of 1974, as amended from time to time.

Eligible Associate means an Officer or 090 Employee at such times that Officer or 090 Employee is eligible to participate in this Plan as provided in Section 3 of this Plan.
