Landlord shall deliver to Tenant a report for the previous fiscal year (the "Electricity Cost Report") by May 15 of each year, or as soon as reasonably possible thereafter, setting forth (a) the actual cost of electricity for the Project, (b) the amount of Electricity Share Rent due from Tenant, and (c) the amount of Electricity Share Rent paid by Tenant.
To be supplied by Landlord (including water and sewer ------------------ charges) as part of the Operating Costs (except that Tenant's Electricity Cost shall not be included in Operating Costs and, unless Landlord elects to collect Tenants Electricity Cost in accordance with the terms of this Lease, shall be paid directly by Tenant).
Tenant acknowledges and agrees that Landlord’s calculation of the cost of Landlord Electricity used in the Premises will not produce the exact actual cost of the Landlord Electricity used in the Premises, and that Landlord’s estimate of the Landlord Electricity Cost shall nevertheless be final and binding on Tenant.
If at any time during the term the cost elements comprising Licensor’s Electricity Cost shall be increased by the Electricity Provider, or Licensor’s Electricity Cost shall be increased for any other reason, then effective as of the date of such increase, Licensee’s payment for submetered electricity under this Section 6.1 shall be proportionately increased.
Within thirty (30) days after receipt of such statement, Tenant will pay to Landlord, or Landlord will credit against the next rental or other payment or payments due from Tenant, as the case may be, the difference between Tenant's actual Pro Rata Share of Electricity Cost and Pro Rata Share of Operating Costs for the preceding calendar year and Tenant's estimated Pro Rata Share of Electricity Costs and Pro Rata Share of Operating Costs paid by Tenant during such year.
Instead, electricity costs for the Premises and the Building (to the extent that the Premises constitutes 100% of the Building and except to the extent attributable to the common areas of the Project and/or Property) shall be treated as a separate and distinct category which shall no longer be subject to the Base Year and instead shall be subject to a Premises Electricity Cost Expense Stop as more fully described in Section V below.
Electricity Cost is calculated at 6.3 cents per kWh, with each S9 consuming 1500W.
Thereafter, the monthly installments of Electricity Cost payable by Tenant shall be appropriately adjusted in accordance with the estimations so that, by the end of the year in question, Tenant shall have paid all of the Electricity Cost as estimated by Landlord.
Tenant agrees to purchase Tenant Electricity from Landlord or Landlord’s designated agent at terms and rates equal to Landlord’s Electricity Cost (as such term is defined below), plus three percent (3%) thereof, to reimburse Landlord for administrative and maintenance services in connection with supplying, measuring and billing Tenant Electricity and for transmission and transformer losses (“Electricity Additional Rent”).
If the actual total of the Direct Sub-metered Electrical Costs and the Common Area Electricity Costs was less than the estimated Electricity Cost, the Landlord shall refund any overpayment to Tenant within thirty (30) days of statement.
