Despite anything contained in this Agreement but without prejudice to this Article, if any provision of this Agreement shall be in deviation or inconsistent with or repugnant to the provisions contained in the Electricity Act, 2003, or any rules and regulations made there under, such provision of this Agreement shall be deemed to be amended to the extent required to bring it into compliance with the aforesaid relevant provisions as amended from time to time.
The Recipient acknowledges that all Confidential Information provided by or to the IESO may be subject to the Freedom of Information and Protection of Privacy Act (Ontario), as amended, the Ontario Energy Board Act, as amended, and the Electricity Act, 1998, as amended, and agrees to comply at all times with applicable privacy laws in connection with the collection and use of any personal information pursuant to this Agreement.
The terms used in this Agreement, unless as defined below or repugnant to the context, shall have the same meaning as assigned to them by the Electricity Act, 2003 and the rules or regulations framed there under, including those issued / framed by the Appropriate Commission (as defined hereunder), as amended or re-enacted from time to time.
The Counterparty also represents as of the date hereof that the ARBPRIA, as amended by this First Amending Agreement, is a procurement contract for purposes of section 25.1(2) and 25.32 of the Electricity Act and is not a transaction, arrangement or agreement entered into by the Counterparty based on the IESO Market Rules.
