Election Form Record Date shall have the meaning set forth in Section 3.2.2.

• Any holder of Hxxxxx United Common Stock who fails properly to submit an Election Form on or before the Election Deadline in accordance with the procedures set forth in this Section 3.2 or shall have acquired shares of Hxxxxx United Common Stock after the Secondary Election Form Record Date shall be deemed to hold Hxxxxx United Stock Election Shares.
